Associate, Transaction Execution Services

- Develop detailed financial models to support M&A transactions, including merger models, synergy analysis, and valuation scenarios. Analyze financial and operational data, identify key business drivers, and create supporting schedules and projections.

- Prepare 5-year financial forecasts and scenario models, including historical trending Income Statement, detailed analysis on revenue, operating expenses, and margin by segment / geography.
- Collaborate with CFOs and executive teams to coordinate and respond to due diligence requests from buyers and advisors.
- Work with company management, private equity deal and operating teams, investment bankers, and other third parties to support transaction execution and corporate development activities.
- Use Excel and business intelligence tools (e.g., Power BI, Tableau, Power Query) to prepare profitability and KPI dashboards.
- Manage population and organization of investor-ready data rooms, including coordination across departments.
- Support the development of equity story and other go-to-market materials, including investment cases and deal memoranda for key stakeholders.
Requirements:
- Master’s degree (US or foreign equivalent) in Business Administration, Finance, Accounting, Economics, or a related field and three (3) years of experience in the position offered or in a related role OR Bachelor’s degree (US or foreign equivalent) in Business Administration, Finance, Accounting, Economics, or a related field and five (5) years of experience in the position offered or in a related role.
- All of the required experience must have included experience with:
- building financial models; working with senior executives and private equity sponsors on M&A transactions, including buy-side and sell-side diligence, preparation of marketing materials, and investor outreach; preparing marketing materials for M&A processes, including Confidential Information Memorandums (CIMs), teasers, and management presentations; coordinating buyer outreach and due diligence; managing virtual data rooms for live transactions, ensuring effective information flow; assisting management teams in responding to buyer due diligence requests; participating in pitches to showcase ideas and gain support; utilizing knowledge of US GAAP, IFRS, and accounting principles to review and analyze financial statements; identifying accounting control weaknesses and recommending improvements to strengthen internal controls, and reporting accuracy; analyzing audited consolidated financial statements for M&A transactions, including intercompany eliminations, goodwill calculation, and purchase price allocation; and using Microsoft Excel for organizing, analyzing, and presenting financial data, including data analysis and schedule preparation
- Position requires domestic travel 25% of the time.
- This role entails hybrid work, with time split between working in our New York, NY office and flexibility to telecommute from another U.S. location.
