Position Overview:
Aksia is actively seeking a lawyer to join our Legal & Compliance team, which is responsible for overseeing the legal and regulatory affairs of Aksia Japan, an FSA registered investment advisor with global affiliates. This position will provide compliance and legal support to Aksia’s offices globally with a focus on compliance, investment structuring, and deal work.
This position will be based in Aksia’s Tokyo office and will provide compliance and legal support to Aksia’s offices globally.
Responsibilities
- Work closely with investment and operations teams to identify and resolve questions related to compliance and investments
- Assist with compliance monitoring and oversight for registered investment companies
- Monitor regulatory updates, changes and guidance related to registered investment companies and propose policy and/or procedure updates as necessary
- Negotiate assignment, participation, subscription, limited partnership and other transactional agreements in connection with investments made by Aksia’s investment management clients
- Prepare and negotiate side letters on behalf of Aksia’s clients
- Assist with legal structuring and oversight of SMAs, including negotiation of offering documents and ancillary service provider agreements
- Assist with project management and oversight of outside counsel engagements
- Coordinate with outside counsel regarding registered investment company matters
- Assist with ad hoc compliance and legal work
Qualifications
- 3+ years of experience working as an attorney or paralegal within the Investment Management/Private Funds group of a law firm or an investment company
- Working knowledge of relevant securities rules and regulations, including but not limited to the Financial Instruments and Exchange Act of Japan
- Experience in private markets fund formation
- Detail-oriented with strong analytical and problem-solving skills, including project management
- Highly motivated and organized
- Ability to multi-task, prioritize and manage projects independently
- Attentive to detail
- Effective writing and communication skills
- Positive attitude, team player and strong work ethic
- Japanese and English languages are a requirement
