
Paralegal / Contracts Manager

Job Summary
Reporting to the General Counsel, the Contract Manager/Paralegal will have three primary areas of responsibility. This hybrid role balances operational procurement and contracting, commercial sales acceleration, and corporate governance. You will work closely with all company departments to confirm third-party tools are properly procured and securely provisioned in accordance with acceptable contract terms. Working closely with the sales and deal-desk teams, you will also ensure that customer deals are closed efficiently while ensuring appropriate risk protections for the company. You will also be responsible for working with General Counsel, Finance, and Administration teams to ensure corporate entities and records are properly attended to at all times. The ideal candidate effortlessly switches gears among procurement activities, SaaS sales, and exec/board relations.
Key Responsibilities
Vendor Procurement & Inbound Agreements
- Procurement Intake: Manage the company’s vendor management process, including review and redlining of vendor agreements, coordinating with security team for approvals, and directing workflow for all inbound business tools, third-party software, and professional services.
- Third-Party Risk Monitoring: Track vendor compliance documentation, collecting updated SOC 2 reports, certificates of insurance, and security profiles as needed.
Customer SaaS Contracts & NDAs
- Commercial Transactions: Working with General Counsel and deal desk, efficiently review and negotiate standard customer-facing SaaS Service Agreements and product order forms, while balancing demanding revenue growth requirements with company risk tolerances.
- Data Privacy Guardrails: Draft and negotiate customer Data Processing Agreements (DPAs) and Standard Contract Clauses (SCCs), ensuring alignment with company operational processes and global data privacy frameworks like GDPR and CCPA.
- NDA Management: Own the high-volume intake, customization, and swift execution of standard corporate and commercial Non-Disclosure Agreements (NDAs).
Corporate Governance & Entity Activities
- Entity Management: Form, qualify, and maintain domestic and international corporate entities, ensuring timely state and Federal filings and good standing certificates.
- Board Operations: Assist the General Counsel and Administrative personnel with the coordination, preparation, and archive of official board books, written consents, corporate resolutions, and committee meeting minutes.
- Due Diligence Readiness: Maintain organized, audit-ready digital archives of historical contracts, equity documentation, and foundational corporate records to support future fundraising or M&A.
General
- Legal Operations Support: Support the General Counsel and Deal-desk with other legal and commercial projects as needed.
Qualifications & Skills
- Experience: 4 to 8+ years of contract management and paralegal experience, with at least 2 years in-house at a SaaS or technology company.
- Balanced and Flexible Skill Set: Proven ability to multitask effectively among inbound procurement, outbound sales support, and administrative corporate governance, as well as other projects and tasks as they arise.
- Tech Sector Fluency: Deep understanding of software subscription models, recurring revenue structures, data privacy regulations, artificial intelligence concepts and terms, and corporate entity maintenance.
- Cross Functional Collaboration: Able to work closely and collaboratively with all company departments.

Base salary range: $90,000-$130,000
