What You Will Contribute To Altos
At Altos Labs, we handle a variety of business transactions in a dynamic and fast-paced start-up environment. Our team of dedicated legal and compliance professionals work to ensure these transactions create value for Altos and meet all risk and compliance standards. As a corporate attorney, you will be a part of this team working alongside the General Counsel and playing a crucial role in these business matters and various areas of corporate law in pursuit of our mission to reverse disease, injury, and the disabilities that can occur throughout life.
The position reports to the General Counsel and is an onsite role in Redwood City, California.
Responsibilities
- Support General Counsel in drafting and negotiating agreements (including business services agreements, licensing and IP agreements, clinical trial agreements, collaborations, and the like) with third parties to develop favorable terms
- Review agreements for accuracy, comprehensiveness, and compliance with all relevant regulations
- Support legal processes in corporate due diligence, mergers, acquisitions, and complex business transactions matters
- Communicate with in-house and external counsel to prepare and manage transaction documents and deal matters
- Advise stakeholders on contractual risk and compliance matters
- Consult on general corporate and licensing legal matters
- Build a collaborative partnership with other legal and business functions to ensure alignment of objectives and priorities
- Develop business acumen and strategic legal skills as second chair to the General Counsel
- Maintain current knowledge of legal developments and emerging industry trends
- Manage outside counsel work product and budget, as needed
- Be a model of high integrity
- Other assignments and responsibilities as assigned by your manager
What You Will Contribute To Altos
Minimum Qualifications
- 6+/11+ (Associate Director/Director) years of experience in corporate and licensing transactions in the life sciences
- Law firm only experience welcome
- Demonstrated experience in transactions involving and between companies (private or public)
- Familiarity with intellectual property concepts and licensing practices
- Demonstrated experience supporting senior attorneys/partners in complex transactional work (e.g., asset acquisition, M&A)
- Relevant technical background (science or engineering degree(s)) a plus
- Juris Doctorate from an ABA-accredited law school
- Admission to the California Bar or the ability to qualify as Registered In-House Counsel
- Knowledge of national regulations, mergers and acquisitions, and general corporate law
- Familiarity with corporate structures
- Understanding of regional regulations and cross-border transactions for for-profit entities
- Attentive to detail
- Adept at working independently and reliably under tight timeframes in a fast-paced environment
- Excellent written, verbal, and interpersonal communication skills
The salary range for Redwood City, CA
- Senior Counsel II: $284,800 - $365,100
Exact compensation may vary based on skills, experience, and location.
