Role Overview
Astera Labs is seeking a driven, collaborative, and solutions-oriented Commercial Counsel to join our growing Legal team. This is an opportunity to have a direct impact at one of the fastest-growing semiconductor companies powering the AI infrastructure revolution.
Reporting to the Senior Counsel, Commercial, this role will serve as a trusted legal partner to our business teams, thoughtfully managing risk in a fast-moving, public company environment. You'll work at the intersection of law and business, enabling Astera Labs to move quickly while maintaining appropriate guardrails as we scale our customer engagements and vendor relationships worldwide.
Key Responsibilities
- Contract Drafting & Negotiation
- Draft, review, and negotiate a wide range of agreements, including NDAs, customer agreements, vendor agreements, and professional service agreements
- Partner closely with procurement, sales, and finance to ensure negotiated terms align with internal policies and risk tolerance
- Balance legal risk with business objectives to enable deal velocity while protecting company interests
- Legal Operations & Process Development
- Support legal intake and contract management system updates
- Create and maintain template agreements to improve efficiency and consistency
- Collaborate with other members of the legal team to develop, refine, and scale the department's processes, policies, and infrastructure to support the company's growth
- Business Partnership & Training
- Provide training to internal stakeholders on contract processes and risk awareness
- Translate complex legal issues into actionable guidance for non-legal audiences
- Support other projects such as real estate leases and cross-functional initiatives
Basic Qualifications
- J.D. from an accredited law school and active membership in at least one U.S. state bar (California preferred)
- 2-4 years of relevant experience at a law firm and/or in-house legal department
- Experience drafting and negotiating contracts, including redlining and responding to substantive comments
- Practical judgment with the ability to balance legal risk and business objectives
- Excellent communication skills with the ability to provide clear guidance on complex matters to non-legal audiences
- Ability to collaborate effectively with multiple non-legal teams (e.g., finance, HR, business operations, engineering, and supply chain)
Preferred Qualifications
- Experience in semiconductor, hardware, or infrastructure technology
- Prior in-house experience at a high-growth or public technology company
- Familiarity with contract lifecycle management systems
- Experience supporting procurement and supply chain functions
- Track record of building scalable legal processes and templates
Base salary range is $165,000 to $200,000 depending on experience, level, and business need. This role may be eligible for discretionary bonus, incentives and benefits.
