Job Summary

 

As the Regulatory Affairs & Entity Corporate Governance Senior Manager for Europe, reporting to the Head of Global Regulatory Affairs & Entity Corporate Governance within Legal, you will oversee and ensure adherence to corporate governance principles, entity corporate legal compliance, and regulatory obligations across the countries in Europe of our organization.

You will work with senior stakeholders across Legal, Finance, Operations, Payroll, HR, and other business areas globally in navigating the complex legal and regulatory landscape of our European subsidiaries, particularly as they operate as Employer of Record (EOR) providers, and driving corporate legal compliance excellence, proactive risk management, and strategic decision-making.

 

Key Responsibilities

Corporate Governance & Corporate Legal Compliance

  • Supports the Head of the department in the delivery of regulatory and corporate governance strategy and objectives.
  • Leads the entity governance framework across European jurisdictions, ensuring efficient formation, maintenance, and dissolution of legal entities in compliance with local corporate legal and regulatory requirements.
  • Maintains the entity corporate documentation and ensures corporate data and beneficial ownership accuracy and integrity.
  • Owns all corporate governance and company secretarial functions for the European entity portfolio, including timely submission of corporate legal filings, high-impact projects in entity restructuring and other ad-hoc corporate changes.
  • Serves as the regional subject matter expert and key point of contact for corporate governance and legal entity compliance across the European region, proactively monitoring changes to companies acts and other relevant laws across diverse legal systems (e.g., common law and civil law).
  • Monitors legislative changes, assessing risks and opportunities and embeds new requirements into existing entity governance frameworks.
  • Leads legal partner engagement across Europe, ensuring value-for-money and cost controls.
  • Acts as escalation point for issues and complex matters and proactively offers solutions.

 

Regulatory Affairs & EOR Licensing

 

  • Owns all EOR licensing and regulatory compliance activities for the European region, including new license applications, renewals, and ongoing compliance reporting.
  • Engages with legal partners and regulatory bodies to understand EOR licensing requirements and is competent to provide guidance and recommendations that drive strategic decisions.
  • Stays ahead of an evolving EOR regulatory landscape, anticipates, and identifies potential regulatory risks, advising leadership on proactive mitigation strategies and ensuring the business operates with a consistently risk-aware approach.
  • Acts as the regional point of contact for regulatory bodies.
  • Drives a culture of accountability and integrity, mentoring junior team members and embedding governance standards aligned with best practices.

 

Qualifications

  • Bachelor’s degree in Law, Corporate Governance, or related field and a recognized corporate governance certification (e.g., CSQS, formerly ICSA). Master’s degree in a related field preferred.
  • Extensive experience in corporate governance, corporate legal compliance, global legal entity management preferably within a multinational or global organization.

 

  • Knowledge:
    • Proven experience in managing corporate legal compliance across multiple European jurisdictions and an ability to navigate and differentiate between various legal systems, legal entity structures, local statutory filing obligations.
    • Demonstrable expertise in managing regulatory affairs, particularly with a focus on licensing. Experience with the Employer of Record (EOR) model is highly beneficial.
  • Skills:
    • Exceptional communication and stakeholder management skills, with the ability to advise and influence senior leadership and engage effectively with external regulatory bodies.
    • Thrives in a fast-paced environment with ability to work under pressure, use initiative, manage multiple projects at once and meets deadlines.
    • Commercial mindset in managing the legal partner network.
    • Excellent organizational, strong project and change management capabilities across multiple European jurisdictions.
    • Focus on creating internal efficiencies.
    • Collaborative team player.
    • Proficiency in technology tools, entity management software experience is beneficial).
    • Fluency in English. Multilingual capabilities are a plus.
