About the role

Auctane’s global legal team is seeking a Contracts Administrator to support commercial contract review and managing the CLM system. This role involves reviewing, negotiating, and finalizing contracts to ensure compliance, mitigate risks, and uphold the company’s interests. In addition, this role will support the legal team in other departmental projects and legal operations improvements. The ideal candidate will have the knowledge and experience to handle contract negotiations with minimal supervision, including familiarity with contract review software and AI tools. The role will report to a Director, Senior Corporate Counsel.

Join the Auctane Legal Department, a collaborative group of legal professionals managing the legal work for Metapack, Packlink, ShipStation, ShipEngine, Stamps.com, ShippingEasy, Endicia, GlobalPost, ShipWorks, and Return Rabbit and all subsidiaries in the family of companies.

What will you be doing?

Primary Objectives:

  • Assist the legal department in global vendor contract review
  • Maintain the contract repository and assist with day-to-day contract administration
  • Provide other legal department support
  • Review and negotiate commercial contracts.
    • Review, analyze and interpret contract terms, ensuring alignment with company guidelines, industry standards and regulatory requirements. 
    • Identify potential contract language risks that may require escalation.
    • Negotiate vendor contracts, NDAs, amendments, schedules and other legal documents using established templates and guidelines.
    • Provide timely and effective communication to all stakeholders regarding contract status, performance, and any potential issues.
  • Maintain the contract repository and manage the day-to-day contract administration.
    • Provide support through all phases of the contract lifecycle, including the signing and filing process.
    • Maintain electronic filing structure for contracts so that documents are accessible, doing so accurately and effectively. 
  • Support efforts to organize, manage, and access legal documents and records.
    • Review, update, and maintain templates, corporate forms, and online terms of service.
    • Identify, design, and implement operational processes to increase efficiency and filing consistency.
    • Assist with requests for information from our internal stakeholders as well as external parties, such as auditors, regulators, partners, customers, and vendors.
  • Other legal department support 
    • Work on other legal department projects as necessary, including assisting with routine corporate governance and licensing filings. 
    • Maintain and enhance legal department tools, including intranet sites, templates, and workflow systems.
    • Assist with continuous improvement initiatives across legal operations.

What are we looking for?

  • Bachelor’s degree.
  • 2-5 years prior contract administration or contract negotiation experience. Experience with technology, software licensing or SaaS contracts strongly preferred.
  • Proven knowledge of contract law and contract management principles. 
  • Highly responsive, with excellent written and verbal communication skills.
  • Ability to carefully proofread and pay close attention to detail.
  • Excellent organizational and record keeping skills.
  • High degree of professionalism and ethics. 
  • Ability to maintain absolute confidentiality and discretion.
  • Self-starter with excellent problem-solving abilities and project management skills.
  • Sense of humor and strong interpersonal skills.
  • Strong working knowledge of Google Workplace tools (especially cloud document storage tools), Microsoft Office Suite, and Adobe Acrobat.
  • Familiarity with DocuSign, Salesforce, or similar contracts lifecycle management software tools.

  • Experience working with LegalSifter or similar AI contract review tools.
  • Experience with corporate governance, entity maintenance or insurance licensing filings.
