Rejoignez une équipe M&A agile et dynamique. L'équipe a pour ambition de gérer un fort volume de transactions avec un mode opératoire proche d'un fonds de private equity ou d'une équipe de corporate development tech. Vous interviendrez tout au long du cycle de transaction : sourcing, due diligence, exécution . Une expérience formatrice, sur des secteurs variés avec des méthodes de valorisation pointues le tout au contact de dirigeants de haut niveau.
Responsabilités :
- Collaborer au sein de l'équipe M&A avec l'équipe de direction de Banyan afin d'identifier, d'évaluer et de sélectionner des opportunités d'acquisition.
- Mener des échanges avec des propriétaires-dirigeants/fondateurs, des conseillers et des banquiers avec professionnalisme et intégrité.
- Préparer et analyser des informations financières et non financières, ainsi que des modèles d'évaluation et d'analyse opérationnelle.
- Piloter l'ensemble du processus M&A : due diligences approfondies (financière, commerciale, marketing, opérationnelle), rédaction des notes d'investissement pour approbation du conseil d'administration, et élaboration de la stratégie d'intégration.
- Collaborer avec les équipes internes et externes des services juridiques, technologiques, des ressources humaines et de la fiscalité.
- Participer aux activités financières, opérationnelles et à l'intégration des entreprises nouvellement acquises.
Qualifications recherchées :
- Excellent dossier académique obtenu dans un établissement d'enseignement reconnu, avec un diplôme en administration des affaires, finance ou dans un domaine connexe.
- Minimum de deux ans d'expérience en fusions et acquisitions, acquise au sein d'un fonds d'investissement, d'une banque d'investissement, d'un cabinet de conseil en transactions, d'une équipe de développement corporate ou dans l'industrie du logiciel.
- Solide expertise dans la conception de modèles financiers et grande maîtrise de la préparation d'analyses rigoureuses et bien structurées.
- Excellentes compétences en communication écrite et orale, avec la capacité d'interagir efficacement avec des cadres supérieurs et des dirigeants.
- Forte ambition professionnelle et disponibilité pour travailler selon un horaire flexible afin d'évoluer au sein d'une organisation en forte croissance.Bonne compréhension des technologies et véritable intérêt pour l'industrie du logiciel.
Job Profile:
This is an exciting opportunity to become a key contributor of a lean, high-energy, high-volume M&A team. The core activities will resemble that of a technology-focused corporate development team or private equity firm. The Analyst will take on critical functions within the deal origination, diligence, and transaction processes, and will have a measurable impact on the organization. The experience will be unique and rewarding with the Analyst being exposed to new industries, business models, valuation methods, research techniques, C-level executives.
Responsibilities:
- Collaborate with Banyan’s M&A and the executive team to source and evaluate acquisitions.
- Lead conversations with owners, advisors, and bankers with the highest level of professionalism and integrity.
- Prepare and analyze financial and non-financial information, valuation, and operational models.
- Drive the entire M&A process, including conducting detailed financial, sales, marketing, and operational diligence; drafting investment memorandums for board approval; and crafting integration strategy.
- Manage diligence processes and engage with internal/ external legal, technology, HR, and tax. Assist in the finance, operations, and integration of newly acquired businesses.
Qualifications for success:
- Strong academic record from a competitive institution with a degree in Business or Finance
- Minimum 2 years of M&A experience, working in private equity, investment banking, transaction advisory, corporate development or a software specific industry.
- Expertise in building financial models, and proficiency in preparing thoughtfully structured analysis.
- Advanced written and verbal communication skills with the ability to converse with senior executives.
- Ambitious career goals with the ability to work flexible hours to grow within a fast-growing organization.
- A strong understanding of technology and a passion for the software industry.
