We are currently looking for a Corporate Counsel to join our team. 

 

Compensation:

Expected Salary: $160,000 - $180,000 USD

 

What You Can Expect from This Role 

We're seeking a Corporate Counsel to join our high-performing legal team supporting Bitfarms' continued growth and expansion. This role offers the opportunity to work across multiple business segments in a cutting-edge industry, handling complex transactions and corporate matters for a dynamic public company operating at the intersection of energy, technology, and digital assets.    

Key Responsibilities

Corporate & Transactional Work 

  • Draft, review, and negotiate complex commercial agreements, including data center development contracts, energy supply agreements, equipment procurement contracts, non-disclosure agreements, and strategic partnerships.
  • Support M&A activities, including due diligence, transaction structuring, and integration planning.
  • Provide support on joint venture and partnership agreements, particularly in the HPC/AI infrastructure space.

Public Company Compliance 

  • Provide support related to corporate structure, subsidiary management, intercompany agreements, and regulatory compliance. 
  • Support SEC reporting and disclosure obligations for a dual-listed company (NASDAQ/TSX).
  • Assist with investor relations, legal matters, and shareholder communications.
  • Manage regulatory compliance.
  • Coordinate with external counsel on securities law matters and regulatory filings.

Data Center & Infrastructure Legal Support 

  • Navigate zoning, permitting, and regulatory requirements for data center development projects. 
  • Structure energy procurement agreements and power purchase arrangements.
  • Handle real estate transactions, including site acquisitions, leases, and development agreements. 
  • Support the Pennsylvania pipeline development (1+ GW capacity) and other expansion initiatives.

 

What We Are Looking For 

  • JD from an accredited law school with active bar admission (PA or NY preferred).
  • 5+ years of corporate/commercial law experience at a law firm or in-house legal department.
  • Public company experience with SEC reporting, corporate governance, and securities law compliance. 
  • Strong transactional background, including contract drafting, negotiation, and deal execution.
  • Commercial litigation support experience preferred. 
  • Excellent written and verbal communication skills with the ability to provide practical business advice.
