Role Overview:

CHAOS Industries, Inc. is seeking a versatile corporate attorney to support our growing, privately held defense technology business. You will own day-to-day corporate legal matters, help manage our domestic and international entity structure, and support M&A, financing, and other strategic transactions.

You will also work across the broader Legal team on commercial deals, disputes, and other business needs. This role is suited to someone with a strong corporate foundation who enjoys taking ownership, learning new areas, and helping a fast-moving company solve practical problems.

You will partner closely with Finance, People, business leadership, and outside counsel.

Responsibilities:

  • Be the subject matter expert on acquisitions, investments, strategic transactions, financing, securities, tax matters, and corporate governance.
  • Manage domestic corporate governance matters, including board and stockholder actions, resolutions, delegations of authority, corporate records, and international subsidiary governance, managing local filings and administering corporate records.
  • Support the formation, maintenance, restructuring, and dissolution of domestic and international entities, coordinating with Finance, Tax, and local counsel.
  • Support M&A and other strategic transactions from initial evaluation through closing and integration, including diligence, transaction documents, and coordination with internal stakeholders.
  • Advise on financing transactions, capitalization matters, equity issuances, and investor rights and obligations in partnership with Finance.
  • Draft, review, and negotiate commercial agreements and support customer, supplier, and partnership transactions as business needs require.
  • Provide practical advice on legal issues across the business, independently handling matters within your expertise.
  • Manage outside counsel on assigned matters, including scope, budget, and work product.
  • Travel occasionally to company locations and business meetings, as needed.

Minimum Requirements:

  • J.D. from an accredited law school and active membership in good standing in at least one U.S. state bar, with eligibility to practice in the role’s location.
  • 5-8 years of experience as both a law firm and in-house attorney, having practiced corporate transactions, M&A, or capital markets at a major law firm.
  • Substantial experience advising companies on corporate governance, entity management, and general corporate matters.
  • Experience handling M&A or other significant corporate transactions, including diligence, drafting and negotiating transaction documents, and managing closing processes.
  • Ability to independently draft and negotiate commercial agreements and resolve legal issues with business stakeholders.
  • Experience supporting matters beyond a core corporate practice, such as commercial transactions, disputes, litigation, or other general business legal issues.
  • Sound judgment about legal and business risk, including when to resolve an issue directly and when to involve specialist counsel.
  • Ability to manage competing priorities, take ownership of projects, and communicate clear recommendations to technical and nonlegal audiences.
  • A practical, collaborative approach and willingness to work across disciplines as the company’s needs evolve.

Preferred Requirements:

  • Experience supporting a growing technology company, either in-house or through a law firm practice.
  • Hands-on experience with at least one IPO or equivalent public-company securities offering, including SEC disclosure and reporting.
  • Experience managing international subsidiaries and coordinating with counsel across jurisdictions.
  • Experience advising privately held companies on financing transactions, stockholder agreements, capitalization tables, equity compensation, or secondary transactions.
  • Experience managing litigation, discovery, investigations, or pre-litigation disputes.
  • Familiarity with defense technology, government contracting, or other regulated industries.
