Senior Corporate Counsel, Commercial

CLEAR’s Legal team is seeking an experienced and talented attorney to help manage commercial contract review and negotiation in support of CLEAR’s secure identity business, including its consumer aviation product (CLEAR+), B2B secure identity platform (CLEAR1), and TSA PreCheck enrollment service. This position will report to another Senior Corporate Counsel and will play a key role supporting CLEAR’s continued growth.
What you'll do:
- Manage the full lifecycle of commercial agreements, including drafting, reviewing, and negotiating a wide range of contracts (e.g., partner, vendor, technology, and enterprise customer agreements).
- Advise business teams on legal, financial, and operational risks in commercial arrangements to support strategic decision-making.
- Structure and negotiate complex partnerships, including airline, airport, and identity ecosystem integrations, in alignment with CLEAR’s business objectives.
- Partner cross-functionally with sales, partnerships, product, engineering, finance, and operations teams to drive efficient deal execution.
- Develop and maintain scalable contracting processes, templates, and playbooks to support high-volume commercial activity.
- Provide pragmatic, business-oriented guidance on contract interpretation, obligations, and dispute resolution.
- Identify and mitigate legal risks related to data use, privacy, security, and biometrics within commercial agreements.
- Support product and commercial innovation by advising on new offerings, go-to-market strategies, and related contractual frameworks.
- Manage and improve internal contract workflows, including coordination with procurement and vendor management functions.
- Collaborate with compliance and regulatory teams to ensure commercial agreements align with applicable legal and policy requirements.
- Train internal stakeholders on contracting best practices, risk awareness, and approval processes.
How you'll measure success:
- Commercial agreements are executed efficiently and aligned with business objectives, with appropriate risk mitigation and minimal friction in the deal process.
- Negotiations consistently achieve favorable, balanced outcomes while preserving key strategic relationships and enabling revenue growth.
- Legal risks in commercial arrangements (including data, privacy, security, and liability) are identified early and addressed through clear, practical guidance.
What you're great at:
- 10+ years of legal experience focused on commercial contracting, technology transactions, and/or corporate law at a law firm and/or in-house legal department.
- Juris Doctor and membership in at least one U.S. state bar in good standing.
- Deep experience drafting and negotiating a wide range of commercial agreements, including complex, strategic partnerships and high-value customer and vendor contracts.
- Providing pragmatic, business-oriented legal advice that balances risk with speed and supports revenue generation and product innovation.
- Partnering closely with cross-functional teams (e.g., sales, partnerships, product, finance, and operations) to structure, negotiate, and close deals effectively.
- Managing a high volume of transactions independently while maintaining strong attention to detail and sound judgment on risk.
- Strong understanding of key issues in commercial agreements, including data privacy, security, intellectual property, and liability.
- Excellent communication and interpersonal skills, with the ability to translate complex legal concepts into clear, actionable guidance.
- Ability to build trust across the organization and drive collaborative, solutions-oriented outcomes.
- Experience developing and improving contracting processes, templates, and playbooks to enhance efficiency and scalability.

The base salary range for this role is $225,000-275,000, depending on levels of skills and experience.
The base salary range represents the low and high end of CLEAR’s salary range for this position. Salaries will vary depending on various factors which include, but are not limited to location, education, skills, experience and performance. The range listed is just one component of CLEAR’s total compensation package for employees and other rewards may include annual bonuses, commission, Restricted Stock Units
