Commercial Contracts Manager

Are you looking for a new challenge in a global, innovative technology company? Look no further than Constant Contact! We have an opening for a motivated and commercially-minded Commercial Contracts Manager to work in our Legal and Compliance Department. The candidate should have at least two years of experience working as a commercial attorney (in house or law firm), preferably at a technology company. In this role, you will support the Associate General Counsel in managing a broad range of legal matters, with a primary focus on customer agreements, commercial contracts, partnership agreements, and general corporate governance.
This is an exciting opportunity to thrive in a fast-paced, global SaaS environment and play a key role in driving strategic business initiatives with sound legal judgment and working cross-functionally across the organization. The ideal candidate is analytical, business-minded, detail-oriented, anxious to learn, and self-motivated. The successful candidate will review, draft, and negotiate a broad range of agreements. You will provide support to all parts of the business, working closely with sales, finance, marketing, IT, security, and HR.

What you’ll do:
- Draft, review, and negotiate a wide range of commercial contracts, including customer and partnership related agreements, order forms, DPAs, BAAs, vendor agreements, and NDAs
- Ensure contractual compliance with legal requirements and internal policies
- Act as primary contact between business and legal, ensuring all legal and commercial matters are addressed efficiently and promptly
- Support the business in responding to customer inquiries and assist with contractual interpretation and dispute resolution
- Support responses to regulatory inquiries related to customer matters, data privacy, or other legal and compliance matters
- Assist with general corporate matters, including entity management, corporate filings, and policy development
- Help maintain and improve legal templates, processes, and playbooks
- Work closely with Sales, Marketing, Procurement, Finance, Security, and Compliance teams to support deal flow and ensure alignment with business objectives
- Provide legal guidance on risk mitigation strategies while balancing business priorities
Who you are:
- Juris Doctor (J.D.) from an accredited U.S. law school
- 2+ years of relevant legal experience (law firm or in-house), ideally with exposure to commercial and/or corporate legal work in a SaaS, tech, or fast-growth environment
- Experience working within a global business is a plus
- Experience with data protection regulations (e.g., GDPR, CCPA) is a plus
- Demonstrated ability to manage multiple priorities and thrive in a fast-paced environment
- Excellent communication, negotiation, and organizational skills
- Proven team player with a collaborative, proactive mindset and strong analytical skills
- Strong analytical skills required with problem-solving ability
- Demonstrated commercial acumen, sound judgment, and ability to balance legal risk with business goals
- A self-starter who can work independently in a dynamic, high-growth environment
- Experience with, or strong interest in, artificial intelligence (AI) tools is a plus
- Proficiency with MS Office applications (Word, PowerPoint, and Excel), DocuSign, Google (Gmail, Google Docs, and Google Sheets), and experience working with contract management and collaboration tools, is a plus
