Corporate Paralegal – Entity Management

Chief Legal Officer 

The Job  

The Corporate Paralegal will work under the direction of the Chief Legal Officer and with attorneys and other professionals in the legal department to deliver exceptional legal and administrative services to the company's executives and employees. This role assists with corporate governance, entity management, compliance, transactional matters, contract administration, and departmental reporting. The Paralegal partners closely with attorneys, executives, other employees, and crossfunctional teams to ensure accurate recordkeeping, timely filings, and the smooth execution of legal and governance processes in a fastpaced corporate environment. 

Responsibilities 

  • Support the entity management function by assisting with the lifecycle of legal entities, including formations, registrations, amendments, mergers, conversions, dissolutions, and withdrawals. 
  • Manage the company’s portfolio of legal entities by tracking and supporting annual reports, foreign qualifications, business license renewals, tax registrations, and other routine compliance obligations. 
  • Maintain and update centralized entity records, including officers, directors, ownership information, registered agents, addresses, organizational charts, and supporting documentation. 
  • Assist with preparing, organizing, and filing routine corporate governance documents, including board and shareholder resolutions, written consents, minutes, powers of attorney, and authorized signatory lists. 
  • Provide administrative and logistical support for board meetings, annual meetings, and other corporate proceedings, including document preparation and distribution. 
  • Prepare, circulate, and maintain board and shareholder resolutions, written consents, minutes, and other governance documents. 
  • Support the coordination of board meetings, annual general meetings, and other corporate proceedings across multiple time zones. 
  • Manage powers of attorney, authorized signatory lists, and corporate requirements. 
  • Handle all notarization, apostillisation, and legalization requirements by sourcing and using third-party providers. 
  • Support internal Legal, Finance, Tax, Treasury, and business teams by gathering information, preparing documentation, and responding to general entity and governancerelated inquiries. 
  • Liaise with registered agents, outside counsel, and service providers under the direction of attorneys or senior Legal team members. 
  • Support M&A, joint venture, and corporate restructuring transactions by managing entity-level due diligence, integration activities, and post-closing obligations. 
  • Support the company’s professional licensing efforts. 
  • Identify opportunities to streamline entity management workflows using technology solutions. 
  • Develop and maintain standard operating procedures, templates, and best-practice guides for entity management processes. 
  • Generate periodic reports on entity portfolio status, compliance health, and upcoming deadlines for leadership review. 
  • Support Legal team members and other company employees on other tasks, as assigned. 
  • Serve as the primary point of contact for registered agents, regulatory agencies, outside counsel, and internal stakeholders across Legal, Tax, Finance, and Operations. 
  • Foster open, respectful, and professional communication directly within the team, with co-workers/ teammates, and leaders across the organization. 
  • Performs other duties as assigned. 

Qualifications 

  • Bachelor’s degree from an accredited university preferred; equivalent work experience will be considered. 
  • 3+ years of experience as a corporate or general paralegal, preferably in an inhouse legal department. 
  • Experience with Ironclad, Microsoft Office, Slack, and OneDrive is required. 
  • Paralegal certification is preferred. 
  • Excellent judgment, curiosity, integrity, dependability, collegiality, critical thinking, and strong work ethic. 
  • Experience in project management and advisory, construction, or energy industries. 
  • Experience managing entities across multiple jurisdictions. 
  • Working knowledge of corporate governance principles, statutory compliance requirements, and Secretary of State filing procedures. 
  • Excellent oral and written communication skills. 
  • Exceptional follow through and ability to create quality work within a face paced environment with short deadlines  
  • Ability to handle confidential and sensitive information with discretion and integrity. 
  • Comfortable with, or an interest in learning about and using, the use of new technologies and software, including generative and agentic artificial intelligence.

Work Environment 

This job operates in a professional office environment. This role routinely uses standard office equipment such as laptop computers and smartphones.  

Physical Demands  

While performing the duties of this job, the employee is frequently required to sit, stand, walk, use hands, and lift up to 20 pounds.   

Position Type/ Expected Hours of Work  

This is a full-time, onsite position. General hours and days of work are Monday through Friday, 8:00 a.m. to 5:00 p.m. Some nights and weekends may be required.
