Job Summary

CycloKinetics is seeking a skilled and pragmatic General Counsel to serve as the company’s first dedicated in-house legal resource. Reporting to the Chief Executive Officer (CEO), you will be the primary legal advisor across the business partnering closely with commercial, product, and leadership teams to protect and advance company interests. You will own a broad portfolio spanning commercial contracts, intellectual property (IP), and regulatory compliance, and will help build the legal function from the ground up.

Essential Functions & Responsibilities:

Commercial Contracts

  • Draft, review, and negotiate a broad range of commercial agreements including customer, vendor, and partner contracts, and non-disclosure agreements (NDA).
  • Develop and maintain standard form agreements and contract playbooks to accelerate deal cycles.
  • Advise business teams on contract risk, deal structures, and acceptable terms.
  • Manage contract lifecycle processes and maintain a contract management system.

Intellectual Property

  • Oversee the company’s IP portfolio, including trademarks, trade secrets, and any patent filings in coordination with outside patent counsel.
  • Advise on IP ownership provisions in employment agreements, contractor agreements, and commercial contracts.
  • Identify and help mitigate IP risks, including third party IP infringement exposure.
  • Develop policies to protect confidential information and proprietary technology.

Regulatory & Compliance

  • Monitor and ensure compliance with applicable laws and regulations, including data privacy, and any industry specific requirements relevant to CycloKinetics’ operations.
  • Develop and maintain company policies, a code of conduct, and a compliance program.
  • Advise on new product or market entry from a regulatory perspective.
  • Manage relationships with outside counsel on specialized regulatory matters.

General Legal & Corporate

  • Provide practical, business oriented legal advice to the executive team and board.
  • Support corporate governance, including board materials, equity matters, and corporate record keeping.
  • Manage and coordinate outside counsel relationships and legal spending.
  • Assist with fundraising, M&A, or other strategic transactions as they arise.

Education and Experience Required: 

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law and membership in good standing.
  • Additional business, compliance, or corporate governance certifications are a plus.
  • 5+ years of legal experience in contracts, IP, regulatory compliance, corporate governance, and risk management.
  • Strong commercial contracts experience comfortable negotiating complex, multiparty agreements independently.
  • Working knowledge of intellectual property law, including trade secret protection and trademark management.
  • Experience advising executive leadership and boards of directors on legal and strategic issues.
  • Excellent judgment, business acumen, and the ability to provide clear, actionable advice.
  • Strong written and verbal communication skills.
  • Demonstrated proficiency in common computer tools and web-based applications is required. 

Physical Demands: 

Frequent lifting and moving of items up to twenty (25) pounds, bending, reaching above shoulder level, climbing stairs, pulling, prolonged standing or sitting may be required. Must have safe work habits and perform all duties in accordance with company safety policies. Personal protective equipment is provided by the company, and its use is mandatory.
