ABOUT THE ROLE

As an Associate General Counsel at Daymark Health you'll have the chance to be our first in-house lawyer and build the legal function from the ground up. You'll join the senior leadership team, report directly to the CEO, and shape how a fast-growing, multi-state care model operates as it expands its provider footprint and its portfolio of value-based contracts with national and regional health plans.

This is a rare opportunity to own the legal function. You'll have a say on everything from corporate governance to the regulatory architecture that makes Daymark's model possible, including enabling us to launch in new states. You’ll create the playbook for how the legal function operates at Daymark: the contracting templates, approval workflows, and outside counsel strategy that enables the business to move quickly and in the right direction.

You'll thrive here if you've operated as a true legal generalist inside a healthcare company, are fluent in value-based care contracting, and are excited by the idea of building something foundational rather than maintaining something that already exists.

WHAT YOU’LL DO

Your first 90 days: Learn the business and set the roadmap

You'll step in as our company-wide general counsel and get to know how Daymark operates. Starting on day one, you'll:

  • Act as Daymark’s company-wide general counsel, covering corporate governance, board matters (including board minutes, consents, and equity plan administration), entity formation and maintenance, M&A and diligence support, and commercial contracting.
  • Serve as Daymark's lead on corporate practice of medicine (CPOM) analysis across all states of operation, advising on permissible ownership, governance, and management structures for provider-based entities.
  • Support payer and value-based care contracting from LOI through execution, including delegation agreements, credentialing provisions, and data use terms.
  • Lead resolution of payer disputes as they arise, including reconciliation disagreements and disputed terms, escalating and coordinating litigation strategy with outside counsel where needed.
  • Select, manage, and hold accountable outside counsel across specialty areas (regulatory, litigation, M&A, employment).

By the end of this phase, you'll have:

  • Delivered a company-wide legal risk assessment and a prioritized 12-month legal roadmap to the CEO. 
  • Reviewed Daymark's CPOM and MSO/PC structure in current states and made a structuring recommendation for upcoming market entries, including Michigan and California.
  • Taken ownership of all in-flight payer, vendor, and partnership agreements and set up a single contract intake process with a target turnaround time.
  • Evaluated outside counsel relationships, spend, and coverage gaps.
  • Brought corporate records current, including board minutes, consents, equity plan documentation, and entity good standing.

By 6 months: Build the foundation

With the roadmap set, you'll expand into the regulatory, privacy, and people work that lets Daymark grow into new markets with confidence. During this phase, you'll:

  • Advise on Stark Law, Anti-Kickback Statute, and False Claims Act exposure across Daymark's arrangements, with particular attention to referral relationships, payment structures, and MSO fee arrangements inherent to value-based care.
  • Monitor and advise on state-specific licensure (including multi-state licensure compact issues for NPs and RNs), scope of practice, telehealth practice-of-medicine rules, fee-splitting, and corporate practice rules as Daymark enters new markets.
  • Partner with Clinical Operations and the COO's compliance function to ensure clinical staffing models, supervision arrangements, and delegation agreements meet regulatory requirements across jurisdictions, supporting (without owning) the company's compliance program as the legal subject-matter expert.
  • Own Daymark's data privacy and security compliance program, including HIPAA and state-specific health data privacy laws as the company expands into new states.
  • Review and negotiate data use terms in payer, vendor, and technology agreements, with particular attention to PHI flowing through Daymark's analytics infrastructure.
  • Partner with Data and Product teams to build Daymark's legal and governance framework for AI use, including model risk, data provenance, clinical decision-support liability, and emerging state and federal AI regulation relevant to healthcare.
  • Advise on AI vendor contracts and internal AI tooling from a privacy, IP, and liability perspective.
  • Review and negotiate vendor, technology, and SaaS agreements, partnership and licensing agreements, and real estate matters.
  • Own multi-state employment law matters, including policy compliance, terminations, investigations, and litigation risk for a distributed clinical workforce.
  • Manage corporate insurance programs, including malpractice and tail coverage and credentialing-related liability, coordinating with Clinical leadership on incident response.
  • Manage IP protection and assignment.

By this point, you'll have:

  • Closed out the legal workstream for new market launches, with entities formed, PC and MSO agreements executed, and licensure in place.
  • Stood up a multi-state regulatory tracker covering CPOM, licensure, scope of practice, telehealth, fee-splitting, and state privacy laws.
  • Launched a contracting playbook with standard templates (NDA, MSA, BAA, vendor, delegation), preferred and fallback positions for payer agreements, and a signature authority matrix so teams can self-serve on routine work.
  • Completed a HIPAA and state privacy gap assessment, closed priority gaps, and established a BAA inventory.
  • Launched version one of Daymark's AI governance framework, including an internal use policy, a vendor review process, and an approval path for clinical decision-support tools.
  • Standardized employment practices for a distributed clinical workforce and confirmed IP assignment agreements are in place across employees and contractors.
  • Completed an insurance program review ahead of renewals.

By 12 months: Operate at scale

Legal has become a trusted, predictable part of how Daymark grows, and you'll spend more of your time on strategy. In this phase, you'll:

  • Advise the executive team and board on legal risk across strategic initiatives, including new market entry, new product lines, and partnership structures.
  • Establish scalable processes for contract review turnaround, regulatory tracking across states, and legal risk escalation to leadership.
  • Optimize outside counsel for cost and quality as the company scales.

By the end of your first year:

  • Legal consistently meets its turnaround targets, and new market entry follows a repeatable legal launch playbook.
  • Fraud and abuse review is built into every new payer, referral, and compensation arrangement.
  • Privacy and AI governance run as ongoing programs, with every new vendor and AI tool reviewed through a consistent process.
  • The board receives regular legal and regulatory risk updates, and the company is diligence-ready for its next financing or strategic transaction.
  • Outside counsel spend is on budget, and you've made recommendations on additional legal hire if volume and business need justifies it.

YOU'LL BE A GREAT FIT IF YOU HAVE

  • 10+ years of experience working in healthtech, including a JD and have passed the bar. Your legal background should be in corporate law and not in litigation, with substantive experience negotiating and structuring value-based care arrangements with health plans. 
  • Deep, hands-on experience with CPOM, healthcare fraud and abuse law (Stark, AKS, FCA), and MSO/PC structuring across multiple states.
  • Working knowledge of HIPAA and state privacy law, and comfort advising on emerging AI governance and liability issues.
  • Experience with multi-state employment law for a distributed or clinical workforce.
  • Prior experience as a Associate General Counsel or senior deputy, comfortable spanning governance, M&A, commercial, and employment matters without a large team.
  • A track record of building legal processes and infrastructure, and sound judgment on when to build in-house versus engage outside counsel.
  • Excellent judgment, low ego, and a bias toward pragmatic, business-enabling solutions in a fast-moving environment.

The base compensation for this role is expected to be in the range of $225,000 to $260,000 annually, depending on experience.
