We are looking for a driven and capable Contracts Manager (OFCI and Vendor) to support large-scale data center construction projects in an owner’s representative capacity. This role will manage the contractual boundary between owner-furnished, contractor-installed equipment, equipment vendors, and general contractor installation responsibilities.

The ideal candidate has direct experience managing complex contractual interfaces involving owner-purchased equipment, vendor contracts, equipment delivery, installation, warranty obligations, schedule impacts, factory acceptance testing, and commissioning support. This individual will help protect the Owner’s interests by clearly defining and administering responsibilities across equipment vendors and general contractors.

This is a specialized, hands-on, project-facing owner’s representative role focused on OFCI and vendor contract interfaces rather than general contract administration. The role will manage the contractual boundaries where equipment custody, risk, warranty, design, installation, schedule, testing, and commissioning responsibilities intersect.

RESPONSIBILITIES

  • Own and manage the contractual boundary between owner-purchased equipment, equipment vendors, and general contractor installation responsibilities.
  • Maintain and administer the OFCI Responsibility Matrix covering basis of design ownership, submittal approval authority, storage risk allocation, delivery acceptance, custody transfer point, warranty pass-through obligations, commissioning support obligations, and the commercial mechanism for OFCI delivery delays affecting GC schedule entitlement.
  • Manage custody transfer, equipment handover, and risk-of-loss obligations at the point of delivery.
  • Administer warranty pass-through obligations between equipment vendors and the general contractor.
  • Establish contractual responsibility for equipment submittal approvals and ownership of the design freeze.
  • Administer the contractual mechanism for late OFCI equipment delivery and related general contractor extension-of-time claims.
  • Manage ownership, resolution, and closure of Factory Acceptance Testing punch items before equipment shipment.
  • Define and enforce equipment vendor commissioning-support obligations.
  • Support the administration of the utility interconnection agreement and coordinate on contractual obligations at the owner-vendor-utility boundary where applicable.

QUALIFICATIONS

Required Qualifications:

  • Bachelor’s degree in Construction Management, Engineering, Business, Legal Studies, Quantity Surveying, or related fields.
  • 7+ years of experience in construction contract management, vendor contract administration, OFCI equipment interfaces, or related commercial contract functions supporting major capital construction programs.
  • Direct experience managing OFCI, owner-furnished equipment, vendor contracts, free-issue equipment, or comparable equipment interfaces on major capital construction programs.
  • Experience supporting projects in data centers, energy, oil and gas, advanced manufacturing, industrial, or similar environments where major equipment is purchased directly by the Owner and installed by a general contractor.
  • Experience managing custody transfer, equipment handover, and risk-of-loss requirements associated with major equipment delivery.
  • Strong understanding of warranty pass-through obligations and contractual interfaces between owners, equipment vendors, and installation contractors.
  • Experience managing equipment submittal approval responsibilities, design authority, and design freeze requirements.
  • Experience administering contractual schedule mechanisms and extension-of-time claims arising from late OFCI or owner-furnished equipment delivery.
  • Experience managing Factory Acceptance Testing requirements, punch item ownership, resolution, and closure before equipment shipment.
  • Experience in defining and administering vendor obligations for installation assistance, testing, commissioning support, and issue resolution.
  • Strong understanding of vendor contracts, equipment interfaces, EPC contracts, design-build contracts, and construction contract administration.
  • Ability to identify contractual gaps, overlapping responsibilities, and interface risks across vendors, contractors, and project delivery teams.
  • Ability to work with equipment vendors, general contractors, project managers, construction managers, schedulers, commissioning teams, procurement teams, and client stakeholders.
  • Strong communication, organization, documentation, analytical, negotiation, and issue-resolution skills.
  • Experience with contract management or project management systems such as Procore, Unifier, e-Builder, Kahua, Oracle, Smartsheet, or similar platforms preferred.

Preferred Qualifications:

  • Owner-side, owner’s representative, developer, or program management experience.
  • Data center or mission-critical construction experience.
  • Experience managing free-issue equipment interfaces on EPC or design-build programs.
  • Experience managing contractual interfaces for major electrical, mechanical, process, or other long-lead equipment.
  • Experience supporting the resolution of disputes involving equipment delivery, installation readiness, warranty obligations, schedule impacts, Factory Acceptance Testing, or commissioning support.
