As the Senior Manager, Digital Securities & Market Structure Policy, you'll be a critical stakeholder in lead Coinbase's engagement with the SEC on digital asset market structure, trading, and issuance rulemaking. You'll be deeply engaged in the sit directly inside the rulemaking process, bringing deep corporate finance, trading, and issuance expertise to bear on active rule proposals, comment letter strategy, and requests for no-action or exemptive relief. This role shapes how Coinbase navigates the evolving U.S. securities regulatory landscape, translating proposed and final rules into actionable guidance for Legal, Product, and executive stakeholders.

What you'll do:

  • Drive Coinbase's engagement on active and pending SEC rulemakings related to market structure, trading, and securities issuance, ensuring Coinbase's positions are well-represented throughout the rulemaking lifecycle.
  • Lead the development of Coinbase's comment letter strategy in response to SEC proposals affecting digital asset markets, drafting or directing substantive responses that advance Coinbase's regulatory objectives.
  • Build and maintain relationships with SEC staff and Commissioners' offices, positioning Coinbase as a credible, constructive participant in the policy process.
  • Translate proposed and final rules into internal guidance for Legal, Product, and executive stakeholders, identifying compliance implications, operational requirements, and strategic opportunities.
  • Partner with Legal to assess regulatory risk and compliance implications of new rules, including evaluating paths for no-action letters or exemptive relief where necessary.
  • Represent Coinbase externally in industry working groups and regulator engagements on market structure policy, shaping industry-wide positions and coalition strategies.

Required Skills and Experience:

  • 10+ years of experience in securities law, market structure policy, or corporate finance, with direct, hands-on experience working at or with the SEC on rulemaking processes.
  • Deep understanding of the SEC rulemaking process and Administrative Procedure Act, with demonstrated experience drafting or responding to public rulemaking comments.
  • Substantive expertise in either trading market structure or securities issuance and corporate finance mechanics, with the ability to apply that knowledge to active digital asset rule proposals.
  • Proven ability to translate complex regulatory text into actionable guidance for cross-functional teams, with direct experience briefing senior executives and external regulators on policy implications.
  • Utilizes generative AI responsibly, maintaining human oversight to deliver business-ready outputs and drive measurable improvements in workflow efficiency, cost, and quality.

Pay Transparency Notice: Base salary varies by location (see range below). Total compensation may also include equity and bonus eligibility, and benefits (medical, dental, vision, 401(k)). 

 

Annual base salary range (excluding equity and bonus):

$252,620 - $297,200 USD
