Counsel, Registered Funds

FS Investments is seeking a highly skilled and experienced Counsel to support our Registered Funds operation. The Counsel, Registered Funds role is part of the in-house team based in our Philadelphia headquarters. This role will support our financial services business by leading or contributing on a broad set of legal and business issues with a focus on registered funds. The ideal candidate will have excellent analytical, communications, negotiating, and interpersonal skills, as well as the ability to provide management with clear advice and assistance managing critical legal issues.

The successful candidate is expected to:

  • Assist with securities law filings, corporate governance, various contracts and other general legal issues, in each case, for FS Investments and its various sponsored investment products.
  • Support large complex corporate transactions, with exposure to financing, derivatives, securities/capital markets and corporate/M&A work.
  • Design and implement new policies and processes to support asset management.

Qualifications:

  • Juris Doctor (JD) required, with strong academic credentials
  • Minimum 3+ years’ experience working at a large law firm or in-house
  • Experience supporting asset management businesses
  • Prior exposure to 1933 Act, 1934 Act and 1940 Act preferred
  • Strong knowledge of the SEC rules, and other regulations
  • Seasoned judgment, strong work ethic and high ethical standards
  • Efficient self-starter with a proven interest in professional growth
