The Opportunity

We are looking for a motivated and versatile Commercial Counsel to join our growing legal team.  The Commercial Counsel will play a critical role in supporting the company’s commercial transactions and legal operations, focusing on negotiating vendor agreements, customer contracts, providing legal advice to cross-functional teams, and ongoing CLM implementation and enablement. As a key member of the legal team, you will work closely with internal stakeholders across Marketing, Sales, Security, Product, and Engineering teams to ensure that all legal aspects of our commercial agreements, partnerships, and business operations are aligned with company objectives and compliant with applicable laws. 

As the company continues to grow, there is the potential to expand this role into other practice areas such as product counseling and intellectual property (IP), providing an exciting opportunity for professional development and growth.This role will report directly to our Head of Legal.

What you’ll be doing

  • Draft, review, and negotiate a wide variety of commercial contracts, including SaaS agreements, vendor contracts, non-disclosure agreements (NDAs), and data processing agreements (DPAs).
  • Lead contract negotiations with vendors, customers, and other third parties, ensuring favorable terms for the company while balancing legal and business risks.
  • Identify and manage potential legal risks in business contracts, data practices, and day-to-day operations. Provide proactive legal advice to minimize risk and protect the company’s interests.
  • Build and update processes and template documents and maintain our contract lifecycle management platform.
  • Work with Sales Enablement to improve sales team training.
  • Review and revise company policies.
  • Educate and train internal teams on company policies, contractual obligations, and other relevant legal topics to foster a culture of compliance across the organization.
  • Provide support across a variety of legal functions as needed, including IP, product, employment, and corporate governance, with opportunities for growth in these areas.
  • Advise business on legal issues and help ensure compliance with regulations. 

What you bring to the role

  • Juris Doctor (JD) from an accredited law school, licensed to practice law in the United States.
  • 5-10 years of experience negotiating contracts, with a focus on B2B SaaS or technology agreements. Experience working in-house is a plus.
  • Strong understanding of privacy and data security laws (e.g., GDPR, CCPA, HIPAA) and other regulations pertaining to businesses.
  • Solid negotiation skills with the ability to balance legal risks and business needs.
  • Ability to think critically and provide practical legal solutions to complex business issues.
  • Excellent written and verbal communication skills is a must; you should be comfortable, confident, friendly, and capable of explaining legal concepts to non-legal stakeholders.
  • Exceptional attention to detail and the ability to manage multiple priorities and deadlines effectively.
  • Commitment to client service, with high emotional intelligence and the ability to perform well under pressure.

Preferred Skills and Qualifications

  • Prior experience with SaaS, technology, and/or high-growth company environments.
  • Experience with managing or configuring legal technology tools (e.g., CLM systems, analytics software, e-signature solutions).

Salary Range

The base salary compensation range targeted for this full-time position is $148,000-$190,000 Range per annum. Compensation may vary outside of this range depending on a number of factors, including a candidate’s qualifications, skills, competencies and experience. Base pay is one part of the Total Package that is provided to compensate and recognize employees for their work, and this role may be eligible for additional discretionary bonuses/incentives and equity (in the form of options). This salary range is an estimate, and the actual salary may vary based on the Company’s compensation practices.
