Position Summary:
The Senior Legal Counsel, Corporate & Commercial architects and executes the legal infrastructure that enables Empower’s growth while protecting contractual economics and enterprise value. This role owns complex commercial agreements, corporate transactions, and governance processes in a highly regulated, nationally visible environment. Success is measured through reduced contract cycle times, effective risk mitigation, and scalable legal systems that support revenue growth without compromising compliance. The role leverages AI-enabled contract management tools and structured workflows to improve execution speed, decision quality, and operational efficiency. Reporting to the Associate General Counsel, this position partners cross-functionally to draft, review, and negotiate agreements that mitigate risk, strengthen relationships, and support scalable growth.
Responsibilities:
Enterprise Commercial Infrastructure
- Lead structuring, drafting, and negotiation of complex vendor, customer, licensing, real estate, and strategic partnership agreements.
- Develop scalable contract templates, clause libraries, and approval workflows to reduce deviation rates and improve cycle times.
- Evaluate contractual financial exposure and provide clear, business-aligned recommendations.
- Supervise and mentor Contract Counsel, providing guidance and oversight on contract-related matters.
Corporate Governance & Transactions
- Support mergers, acquisitions, capital projects, and strategic investments through diligence and risk analysis.
- Maintain entity management, governance records, and board approvals with a high standard of accuracy.
- Structure strategic agreements with clear allocation of risk, indemnities, and economic protections.
AI-Enabled Legal Transformation
- Implement AI-enabled tools to automate contract drafting, review, and obligation tracking.
- Analyze contract data to identify trends, improve negotiation strategies, and reduce risk exposure.
- Design repeatable workflows with appropriate validation controls and confidentiality safeguards.
Individual Ownership & Execution Discipline
- Operate with full ownership of assigned legal domains, delivering outcomes with minimal oversight.
- Establish systems for intake, prioritization, tracking, and performance measurement.
- Develop scalable legal resources such as playbooks, templates, and decision frameworks.
- Serve as subject matter expert for mergers and acquisitions, corporate governance, and capital projects.
Knowledge and Qualifications:
- Advanced expertise in commercial contracting, corporate governance, and transaction support.
- Strong knowledge of contract law and applicable regulatory frameworks.
- Experience with AI-enabled contract lifecycle management and workflow automation tools.
- Strong analytical judgment and ability to translate legal risk into business impact.
- Excellent communication and cross-functional collaboration skills.
- Experience leading contract lifecycle management processes and driving process improvements.
Experience and Qualifications:
- Minimum of 7 years of legal experience, with a focus on contract drafting, negotiation, and management, preferably in pharmaceutical, healthcare, or life sciences industries.
- Combination of law firm and in-house experience preferred.
- Demonstrated success negotiating complex agreements with vendors, customers, and strategic partners.
- Experience implementing or leveraging AI-enabled legal tools and contract automation platforms.
- Supervisory experience managing and mentoring Contract Counsel.
- Experience with mergers and acquisitions, corporate governance, and real estate agreements.
