About the Role

We're looking for an experienced, US-licensed Commercial Contracts Consultant to support the global contracts team of a leading global organisation. Our client is increasingly data- and technology-driven, and the data licensing and technology agreements in this role are business-critical.

You'll handle North American technology and data licensing agreements end to end, from first review through to signature, working on around 10 complex, high-value agreements a month. You'll work AI-augmented on Eudia's platform and the client's playbooks, building skills that are increasingly valuable as legal work changes.

The engagement is part of a broader, established relationship between Eudia Counsel and the client, with strong potential for the role to become long term.

Engagement Details

  • Hours: Part-time, approximately 20 hours per week, spread across the working week. Hours are flexible, provided you share your schedule in advance so the client knows when you're available.
  • Start date: ASAP
  • Duration: Initial 3-month term, with a high likelihood of extension
  • Location: Remote, based in North America or working North American hours

What You'll Do

  • Review, redline and negotiate complex technology agreements, including SaaS, software licences, IT services and data licensing agreements.
  • Work on both the client's templates and counterparty paper.
  • Negotiate directly with counterparties through to signature, or until the matter is closed.
  • Work with internal stakeholders across IT, procurement, data/privacy and IP to understand business needs, risk and timelines.
  • Handle routine issues independently and escalate complex or high-risk issues to the client's legal team and subject-matter experts.
  • Use Eudia's AI platform and client-specific playbooks, and give feedback to improve them.
  • Prepare short summaries of negotiated positions for stakeholders.

Key Requirements

  • Licensed (barred) US attorney. All negotiations must be conducted by a barred attorney, and agreements are governed by US law.
  • 10+ years' experience negotiating technology contracts, ideally in-house or at a firm with a commercial technology practice.
  • SaaS, software licensing and data licensing experience is essential.
  • Working knowledge of data protection and data licensing terms, including data usage rights, DPAs, IP ownership, liability and indemnities.
  • Confidence negotiating directly with counterparties and handling heavily negotiated, high-risk agreements.
  • Based in North America, or able to work North American hours.
  • Comfortable working within a client's systems and processes; experience with Onit is a plus.
  • Comfortable using AI-assisted contract review tools.
  • Nice to have: experience with construction or procurement agreements.

Why You'll Love Working Here

  • Impactful Work — Be part of a team at the forefront of AI innovation and Augmented Intelligence
  • Fortune 500 Exposure — Work alongside F500 legal teams to drive AI innovation and redefine how complex work gets done
  • Growth Opportunities — Work in an environment that encourages professional growth and exploration of new ideas
