About the Role

We are looking for a versatile corporate lawyer with a deep securities law background to join Figure's Legal team. Figure is a leading, Nasdaq-listed financial technology company using blockchain to transform financial services, and our Legal team sits at the center of the company's most consequential work: public company governance, capital markets activity, M&A, and novel securities initiatives spanning our lending, marketplace, and digital asset businesses. You will be equally comfortable running day-to-day corporate matters, leading M&A transactions, and advising at the frontier of securities law, including broker-dealer regulation. This role reports to the Chief Legal Officer and will work directly with Figure's CEO and senior executive team on high-priority securities initiatives.

What You’ll Do

  • Advise on the full range of general corporate matters, including entity governance, subsidiary management, corporate approvals, board and committee resolutions, and commercial transactions
  • Support public company governance and reporting, including Exchange Act filings (10-K, 10-Q, 8-K), proxy statements, Section 16 compliance, insider trading policy administration (including 10b5-1 plans), and board and audit committee support
  • Provide securities law advice on capital markets transactions, including registered offerings, shelf registrations, private placements, and equity plan matters
  • Lead the company's M&A activity end to end, including deal structuring, due diligence, negotiation of definitive agreements, regulatory approvals, closing, and post-closing integration
  • Advise Figure's broker-dealer and marketplace businesses on SEC and FINRA regulatory matters, including registration, ongoing compliance, examinations, and interactions with regulators
  • Partner with senior leadership, including Figure's founder, on strategic securities law initiatives, including the application of federal securities laws to blockchain-native products, tokenized securities, and other novel structures
  • Manage outside counsel efficiently and coordinate cross-functional execution with Finance, Compliance, Capital Markets, and Product teams
  • Monitor legal and regulatory developments affecting public companies, broker-dealers, and digital asset securities, and translate them into practical guidance for the business

What We Look For

  • 10+ years of experience at a top law firm and/or in-house at a public financial services or fintech company, with substantial time spent on both corporate/governance and securities regulatory work
  • Deep subject matter expertise in the Securities Act of 1933 and Securities Exchange Act of 1934, with working knowledge of the Investment Advisers Act of 1940 and Investment Company Act of 1940
  • Hands-on experience with broker-dealer regulation, including SEC and FINRA rules, registration, and compliance; experience at the SEC or FINRA a plus
  • Public company experience, including periodic reporting, disclosure judgment, and board/committee governance
  • Substantial M&A experience, including leading acquisitions, dispositions, and strategic investments through structuring, diligence, negotiation, and closing
  • Comfort operating in ambiguity and applying established securities frameworks to novel products, including blockchain and digital asset structures
  • Strong drafting and negotiation skills across corporate and transactional documents
  • Sound, practical judgment and the ability to deliver clear, decisive advice to senior executives under time pressure
  • J.D. and membership in good standing with at least one state bar
  • Excellent written, oral, and interpersonal communication skills
  • Ability to own, organize, prioritize, and manage multiple high-stakes projects simultaneously
  • Adhere to all company security policies and data handling procedures.
  • Complete mandatory security awareness training within required timeframes.
  • Promptly report any suspected security incidents or suspicious activity to the Security team.

Salary

  • Base Compensation Range: $227,700 - $341,550/yr
