Role Summary
The Assistant Company Secretary is a key member of the Legal and Governance team, responsible for supporting the delivery of best-practice corporate governance across Firmus and its group entities. Reporting to the Deputy Company Secretary, the role supports the Board, Board Committees and executive leadership team, helping to ensure the Company's governance framework remains effective, efficient and aligned with its strategic objectives.
Working closely with the Deputy Company Secretary, directors, executives and stakeholders across the business, the Assistant Company Secretary will support the management of continuous disclosure obligations, Board and Committee processes, subsidiary governance, corporate compliance and governance-related projects. The role will play an important part in maintaining compliance with applicable legal and regulatory requirements while supporting Firmus' continued growth across multiple jurisdictions.
The successful candidate will combine strong governance expertise with attention to detail, sound judgment and excellent stakeholder management skills. This is an opportunity to contribute to a high-growth business operating at the forefront of artificial intelligence, digital infrastructure and technology, while working closely with the Deputy Company Secretary, senior leadership and the Board on strategically important matters.
Key Responsibilities
- Continuous disclosure and market disclosure governance
- Board and Board Committee governance and administration
- Preparation and management of Board and Committee meetings
- Minute taking and action tracking
- ASX Listing Rules and Corporations Act compliance
- Subsidiary governance and entity management
- Management of offshore entities and corporate records
- ASIC, ASX and regulatory filings
- Shareholder registry management
Skills & Experience
- Minimum 7 years' relevant governance, company secretarial or legal experience.
- Experience gained in a listed company, large private company, professional services firm or corporate governance environment.
- Strong knowledge of the Corporations Act, ASX Listing Rules and ASX Corporate Governance Polciies
- Demonstrated experience supporting Boards, Board Committees and senior executives.
- Experience managing subsidiary governance programs and corporate structures across multiple jurisdictions.
- Excellent drafting, communication and minute-taking skills.
- Strong organisational skills with the ability to manage multiple priorities and competing deadlines.
- High attention to detail, sound judgment and a proactive approach to problem solving.
Desirable Experience
- Experience supporting an ASX-listed company or an organisation preparing for a public listing.
- Experience working across Australian and international corporate structures.
Qualifications
- Bachelor's degree in Law, Governance or a related discipline.
- Governance Institute of Australia or AICD qualifications (or equivalent) highly regarded.
- Legal qualification and admission to practice desirable.
