Corporate Paralegal
Foley Hoag seeks a corporate paralegal for the Business Department. Strong communication and interpersonal skills and ability to work successfully with attorneys, fellow paralegals and clients are necessary. The successful candidate must be a team player yet capable of working independently in a fast-paced environment. This hybrid role requires 60% in-office presence in our Denver office to foster collaboration and connection. Onsite expectations and specific days may evolve depending on team and business needs.
Responsibilities
- Assist in the formation of business entities, including corporations, partnerships and limited liability companies. Prepare corporate formation documents and board and stockholder resolutions. Prepare and maintain corporate record books in both paper and electronic format.
- Assist attorneys in closing business transactions, including corporate financings, mergers and acquisitions and private fund closings. Utilize Litera Transact, DocuSign, Carta and similar software solutions in conjunction with closings. Prepare and maintain electronic closing binders.
- Research state corporate filing requirements, drafting and filing documents required to form and maintain business entities, including corporations, partnership, limited liability companies and not-for-profit organizations.
- Review and track subscription documents, including review of subscription agreements and supporting documentation.
- Prepare, file and track federal and state securities filings and amendments (i.e. Form ID/Form D and/or Blue Sky related exemption filings).
- Attend to and track corporate filings, including charter filings, UCC filings and SS-4 applications; order and summarize lien search results.
- Utilize Word, Excel, Adobe, Nuance and dedicated corporate maintenance software and technology.
- Maintain and organize files and workrooms.
- Perform additional administrative tasks as requested by attorneys.
- Experience using electronic signature solutions (i.e. DocuSign, Litera Transact), and electronic cap table management software (i.e. Carta) preferred.
Qualifications
- Bachelor's degree
- Demonstrated analytical, organizational, writing and communication skills
- Ability to collaborate effectively with legal and administrative staff and clients
- Technical Proficiency in MS Office Suite
Compensation range is $69,000 – $87,000 commensurate with related experience and qualification. The salary of the candidate selected for this role will be set based on a variety of factors, including but not limited to internal equity, experience, specialty, and training. The above salary range (or hiring range) represents the firm's reasonable estimate of the range of possible compensation at the time of posting.
