The Role:
Forge is seeking a public company attorney with 6-8 years' experience to join its growing legal team. As key member of the legal team and a subject matter expert, this role will counsel Forge on all public company matters and assist on corporate, securities, and governance matters. Candidate should have experience advising public companies on a wide variety of securities law compliance, corporate governance, and the listing requirements of the NYSE. Candidate must also have solid understanding of U.S. securities laws and a demonstrated interest in public company advisory and best practices.
Location: Soho, NY: Must be able to work in our Soho, NY office 2-3 days a week
Responsibilities:
- Advise Forge’s executive leadership team, board of directors, and board committees on a wide range of matters, including SEC and stock exchange reporting and disclosure requirements, corporate governance best practices, and investor relations matters.
- Lead NYSE submissions and SEC filings, including 10-Ks, 10-Qs, 8-Ks, and proxy statements.
- Oversee Forge’s annual stockholder meeting and preparation of related materials.
- Manage Section 16 reporting, including Forms 3, 4, and 5, ensuring compliance with reporting requirements.
- Support the preparation of board and committee meeting agendas, materials, and minutes as corporate secretary.
- Provide legal advice and support in connection with stock plans, director and executive compensation, insider trading policies, and Rule 10b5-1 plans.
- Manage all Forge equity matters and work closely with Forge’s stock administrator.
- Partner with other internal Forge departments, including finance/accounting, marketing, equity, people, and operations teams.
- Liaise with and oversee outside counsel as needed.
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school and licensed to practice law (preferably CA or NY).
- Top academic and professional credentials.
- 6-8 years of experience – ideal candidate will have a combination of law firm and in house experience.
- Deep understanding of U.S. securities laws and NYSE rules and requirements.
- Ability to thrive in a fast-paced environment, manage time-sensitive matters, and be responsive.
- Comfortable with articulating legal concepts to non-legal audiences in a concise and business-facing manner.
- Demonstrated ability to handle matters independently and a willingness to learn and provide support to other areas as needed.
For residents of New York, NY the annual salary range for this role is $180K - $220K+ annual bonus. Final offers may vary from the amount listed based on geography, candidate experience and expertise, bonus, and other factors.
