Position Overview
The Associate Counsel will support a broad range of corporate, securities, transactional, and governance matters. The ideal candidate has foundational training from a top law school and substantive experience with an AM Law 100 firm or in-house with a NYSE or Nasdaq-listed company and is eager to dive into a dynamic, fast‑moving environment. Candidates should be proactive, business-oriented, and comfortable working in a fully remote setting.
Key Responsibilities
- Support corporate governance matters, including drafting board materials, maintaining corporate records, and ensuring compliance with internal policies.
- Assist with securities law matters, including periodic reporting, disclosure review, and compliance with NYSE/Nasdaq listing standards.
- Support M&A transactions, joint ventures, financings, and other strategic corporate initiatives.
- Review, draft, and negotiate a variety of commercial agreements.
- Monitor regulatory developments affecting digital assets, mining, securities, and corporate operations.
- Provide practical, timely legal advice to business teams and leadership.
- Collaborate with external counsel as needed.
- Contribute to building and scaling internal legal processes and infrastructure.
Qualifications
- D. from an accredited law school; admitted and in good standing with at least one U.S. state bar.
- 2–3 years of substantive experience in corporate law, securities, or mergers & acquisitions at an AM Law 100 firm or in-house at a NYSE or Nasdaq-listed company.
- Strong drafting, analytical, and organizational skills.
- Ability to prioritize and manage multiple projects with minimal oversight.
- Comfortable working autonomously in a remote-first environment.
- Demonstrated initiative, resourcefulness, and sound business judgment.
- Cryptocurrency, blockchain, or digital asset industry experience is a plus, but not required.
