Position Summary

Actis’ global compliance team is responsible for maintaining the firm’s compliance programme to meet the needs of the business and our investors across the jurisdictions in which it operates. It works with the legal team and the company secretary to advise and support on a wide range of operational and strategic activities across the firm.  

There is a need to recruit a Compliance Officer into the team which will provide the individual with extensive opportunities to broaden, expand and refine their compliance expertise. This role has the potential to expand responsibilities and subject matter expertise and will have responsibility for advising the business on regulatory changes, developing new policies and procedures, and general regulatory matters.

Based in Tokyo, this role will provide exciting opportunities to support our growing business with dedicated compliance support across a wide range of markets in which Actis operates. There is a need to provide broad (see below) operational support on a day-to-day basis that will be combined with the chance to gain valuable experience on different regulatory projects.

Reporting to the Managing Director for Compliance and working collaboratively with other team members this individual will gain the opportunity to work across the whole business, engaging with our deal teams, fund raising and platform colleagues across the globe.

Responsibilities 

  • Ensuring there is an appropriate compliance framework to comply with Type II license requirements in Japan
  • Lead in the review and amendment process for our policies and procedures in Japan so that they remain fit for purpose and ensuring consistency with our integrated stance with GA
  • Be the primary point of contact for Japanese regulators
  • Advising on and discharging regulatory obligations locally in Japan (both existing and new) and liaising with relevant internal and external teams to appropriately implement relevant requirements and ensuring harmonization with group-wide policies and procedures
  • Liaise with external service providers to ensure our Compliance Monitoring Program in Japan is appropriate to the size, nature and scale of our business and that is carried out in a timely manner
  • Liaise with internal stakeholders to ensure compliance with regulatory obligations
  • Support the compliance team in advising deal teams, fund raising, and platform colleagues on regulatory matters including management of conflicts of interest, risk and governance
  • Ensure local regulatory reporting requirements are met and mitigate any risk in this arena
  • Identifying training needs and ensuring appropriate training is provided on regulatory matters (both ongoing and new initiatives)
  • Providing support in the approval of marketing material from a SEC perspective
  • Play an integral role in complying with regulatory obligations globally for instance with respect to internal audit, regulatory reporting and training initiatives
  • Assist global legal and compliance team with legal and regulatory matters across jurisdictions
  • Support the compliance team in ad-hoc regulatory projects as may be required

Knowledge 

  • Understanding of Japanese regulations with practical experience of implementing them (preferably at least 3-5 years’ experience with respect to Type II activities)
  • Understanding of local regulatory framework and regulator expectations
  • Knowledge and understanding of fund industry - Private Equity preferred
  • Previous experience with in-house systems
  • An understanding of corporate governance procedures
  • Legal background / Compliance Qualification (preferred)
  • Practical experience in applying policies and procedures
  • Excellent communication and interpersonal skills
  • Detail oriented and accurate
  • Strong written and language skills (English and Japanese)
  • Teamwork ethic
  • Organised, self-motivated and has initiative
