Corporate Paralegal
Overview
The Corporate Paralegal is responsible for the maintenance and organization of important corporate records, and performing customary tasks of an in-house law department, including review of contracts, maintaining governance records, and work on corporate transactions.
The primary focus of the role will be to support the Legal and Risk team with contract and other document review and revision, global regulatory surveys, monitoring for and providing analysis of regulatory developments, document management and retention, compiling reports of key developments relevant to the team, stakeholder alignment, maturing internal processes, and special projects.
Responsibilities
This role has a wide range of responsibilities, all of which support the Legal and Risk function and Senior Leadership Team. A non-comprehensive list of work and activities includes:
- Corporate: Work with corporate legal documents, including review of contracts for goods and services and M&A activities. Provide project management and support for complex corporate transactions including M&A, financing rounds, and strategic transactions through due diligence coordination, document management, and closing preparations, including coordinating pre-closing and post-closing matters. Prior experience in U.S. M&A transactions is not required, but is highly preferred.
- Governance. Support routine and complex corporate governance across all subsidiaries, including maintaining entity records, managing board materials and minute books and assisting with regulatory filings. Maintain corporate records, including board resolutions, meeting minutes and other governance documents. Maintain and update corporate organizational charts and director and officer lists.
- Corporate Records. Routine maintenance of corporate records and legal files, including shareholder records, intellectual property, and similar, with calendaring deadlines as an important element.
- Reporting. The incumbent will be the primary in gathering and assembling data for presentations, dashboards and ad hoc reporting, including developing solutions for the automation of data collection. Reporting will likely cover areas such as legal spend, and risks that relate to casualty, compliance, and personnel.
- High bar for customer service. Like all our Shared Services, Legal ultimately serves our school network as “customers.” We want to build a well-oiled machine to support end users from their most basic needs (e.g., food vendor license application for an event) to their most complex (e.g., navigating the nitty gritty of complex regulation in New York state).
- Process Improvement. Work to identify, build and maintain scalable corporate operations processes, with emphasis on documentation, reporting, and audit trails.
- Other duties as assigned. Part of the fun of this position is that it will expose the incumbent into an ever changing set of demands and provide exposure to the mechanisms that can make or break the company.
Skills
- 3+ years of experience in a law office or corporate law department legal documents such as contracts, reviewing due diligence, and managing corporate filings.
- Project Management skills and experience is highly preferred but not required.
- Strong analytical and problem-solving skills, inclusive of ability to assess a situation by gathering facts and evaluating and manipulating data, including by spreadsheets such as excel.
- Understanding of corporate governance matters and transactional work.
- Proficient with Excel spreadsheets.
- Developing PowerPoint presentations.
- Experience working in a fast-paced / hyper-growth environment.
- Excellent organizational and communication skills, with the ability to manage multiple deliverables and competing priorities in a time-sensitive environment.
