Position Summary:

Grayscale is seeking an experienced Counsel to serve as a legal generalist and quarterback across corporate, employment, risk management, intellectual property, privacy and digital asset agreements. This role will interface directly with key leaders across the business, including but not limited to the Chief Legal Officer, Chief People Officer, Chief Financial Officer, and Head of Sales to provide pragmatic legal support.

The Counsel will manage a wide variety of matters, from reviewing digital asset custody/ prime brokerage agreements and digital asset liquidity provider agreements, to advising on employment issues, coordinating insurance coverage, and managing risk across multiple operating entities. This is an ideal role for a versatile, business-oriented attorney who can connect the dots between crypto-native structures and traditional finance practices.

Responsibilities:

  • Draft, review, and negotiate broad range of agreements, including digital asset custody agreements, prime brokerage agreements and liquidity provider agreements, strategic partnerships, SaaS licensing, vendor agreements, service contracts, and client-facing distribution arrangements.
  • Partner with the CLO on insurance (D&O, E&O, cyber) and enterprise risk management.
  • Develop and maintain intellectual property assets.
  • Support HR and People teams on employment agreements, workplace policies, and dispute resolution.
  • Identify and resolve legal and operational risks proactively, supporting decision-making at both strategic and day-to-day levels.
  • Provide advice on corporate governance, entity management, and board support.
  • Contribute to special projects and initiatives that require cross-functional legal and operational leadership.
  • Utilize contract management systems (g., LinkSquares) and template libraries.
  • Act as a quarterback across functions, connecting legal, compliance, finance, HR, and operations to ensure consistent practices across multiple entities.

Prior Experience/Requirements:

  • JD from a top-tier law school; admitted to practice in at least one U.S. jurisdiction.
  • 5–8+ years of experience in a combination of law firm and in-house roles, with exposure to corporate, transactional, employment, dispute resolution, and risk management.
  • Strong understanding of both crypto-native agreements (g., custody) and traditional financial agreements (prime brokerage, fund administration, distribution).
  • Excellent contract drafting and negotiation skills with a pragmatic, business-oriented approach.
  • Proficiency in using and applying LLMs and AI tools (e.g., prompt engineering, contract review automation, knowledge management).
  • Ability to manage and mentor paralegals; prior paralegal management experience a plus.
  • Exceptional organizational skills; able to juggle competing priorities across multiple stakeholders.
  • Collaborative and adaptable, with strong interpersonal skills to interface with senior leadership.
  • Experience working at or with an investment manager, broker-dealer, or financial institution, preferred.
  • High attention to detail and ability to operate independently in a fast-paced environment.
