POSITION OVERVIEW

The Senior Paralegal will support the legal team with preparing, filing, and reviewing documents related to M&A, development, EPC, project finance, and corporate governance matters. The Senior Paralegal is responsible for working cross-functionally with other teams within the organization to meet project needs.

This position reports to the General Counsel or another senior management personnel that the General Counsel of the Company may designate.   Our corporate office is located in Houston, TX.  This is an in-office role.

 

RESPONSIBILITIES

  • Corporate Governance:
  • Prepare and maintain corporate records, including entity formation documents, bylaws, resolutions, annual reports, and minutes
  • Coordinate corporate filings with the Secretary of State and ensure compliance with applicable regulations
  • Contract Management:
  • Draft, review, redline, and track a variety of contracts including vendor agreements, NDAs, construction contracts, and service agreements
  • Maintain the legal contract repository and support compliance with internal approval processes
  • Legal Department Operations:
  • Support process improvement initiatives within the legal department
  • Maintain and organize legal files, databases, and document management systems
  • Assist in the management of outside counsel, including tracking billing and budgets
  • Compliance and Notarization:
  • Serve as the department’s Texas Notary Public, notarizing documents as needed
  • Support compliance efforts across departments by tracking licenses, certifications, and legal deadlines
  • Cross-functional Coordination:
  • Collaborate with internal teams such as HR, Finance, Real Estate, and Operations to support corporate transactions and projects
  • Assist in responding to internal and external audits or legal requests

 

GENERAL RESPONSIBILITIES:

  • Provide general administrative and organizational support to the legal team.
  • Support the legal team in streamlining and scaling the team’s processes and procedures.
  • Responsible for administrative updates of company policies.
  • Collaborate with members of the project development team, other members of the legal team, and other departments.
  • Maintain collaborative, cross-functional relationships; and can quickly adapt to ever- changing business priorities.
  • Prepare reports for upper management regarding project status.
  • Must be able to handle multiple projects simultaneously and deal positively with changing priorities.

 

REQUIRED QUALIFICATIONS

  • Paralegal Certificate from an ABA-approved program (required)
  • Texas Notary Public (active and in good standing)
  • 5+ years of experience as a Corporate Paralegal, preferably in the clean or renewable energy field, real estate or development
  • Strong understanding of contract law, and corporate legal operations
  • Bachelor’s degree in Business, Legal Studies, or related field (preferred)
  • Experience with entity management platforms, e-signature tools, and legal matter management systems
  • Excellent organizational skills, detail orientation, and the ability to manage multiple priorities
  • Strong written and verbal communication skills
  • Ability to maintain confidentiality and exercise sound judgment

$110,000 - $140,000 Salary
