
Senior Manager, Governance and Entity Compliance

The Senior Manager, Governance and Entity Compliance provides support to the legal team with a focus on corporate governance, securities and subsidiary management matters. The position will report directly to our Chief Legal & Compliance Officer, but will work very closely with other team members and internal clients.
The successful candidate will be very detail-oriented and eager to learn and grow and will be able to prioritize, juggle competing priorities, and be extremely responsive in a fast-paced environment, all while maintaining excellent relationships with internal clients. A go-getter with a keen sense of judgment, strong organizational skills, and a sense of humor would excel in this role.
Job Responsibilities:
- Draft key corporate records, including minutes, resolutions and executive summaries for Board and Committee meetings.
- Work collaboratively with the Chief Legal Officer and other stakeholders to prepare agendas, materials and books for the Board and Committee meetings.
- Update governance documents, including charter documents, policies, procedures and other control processes.
- Prepare and review D&O Questionnaires.
- Assist with officer and director onboarding and offboarding and researching director education programs.
- Coordinate with other stakeholder teams on related person transaction reviews and director independence analysis.
- Support legal team in drafting and providing information for the annual proxy statement and other SEC and regulatory filings.
- Support the legal team’s shareholder engagement efforts.
- Respond to governance surveys and perform special projects.
- Assist with document production for SOX compliance, internal audits and other special projects.
- Manage the company’s legal entities.
- Support the international business needs of the business from a governance and legal entity set up perspective.
Skills & Work Experience:
- Ability to multi-task, prioritize and be extremely responsive and flexible in a fast-paced environment
- Be a team player who wants to learn, take initiative and work together to get things done
- Strong oral and written communication skills and attention to detail
- Ability to use, or quickly learn, electronic board management software and Google Docs/Sheets
This position has an estimated base salary of $160,000-$195,000, cash bonus, and stock options.
