About the Role
iCapital is hiring an Assistant Vice President, APAC Legal Counsel to join its Legal Group and work with the broader iCapital team in Hong Kong, Japan and Singapore. The role will be focused on representing private funds established predominantly in Australia or the Cayman Islands for APAC-based sponsors and wealth managers on a wide spectrum of matters including regulatory issues, capital raising, distribution, marketing, and fund formation and structuring, as well as on general corporate matters. The ideal candidate will have the ability to work across all functions, balance multiple projects effectively, and help manage external contractual relationships and outside counsel. The candidate will work closely with iCapital personnel on the client relationship, operational and legal teams.
Responsibilities
- Negotiate various agreements with counterparties including many of the world’s largest and most sophisticated fund managers and leading distribution agents;
- Draft and review private fund offering materials, partnership agreements and related private fund legal documentation;
- Advise on the legal implications of offering new and existing products and services across jurisdictions;
- Coordinate with outside legal counsel with respect to a variety of issues including regulatory, corporate and fund investment work;
- Drive legal projects with on-time and on-budget results;
- Draft and review complex, technology-driven client engagement agreements;
- Draft and review a variety of general corporate agreements;
- Assist with legal aspects of strategic corporate development initiatives; and
- Perform ad hoc projects.
Qualifications
- 2-4 years of relevant experience within a top-tier law firm and/or in-house at an asset management or financial services firm
- Strong knowledge of Cayman corporate structures and regulatory matters
- Knowledge of Australia corporate structures and regulatory matters is a plus
- Knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and FINRA regulations is a plus
- Strong interpersonal and leadership skills
- Willingness to learn new topics and work in an evolving business environment
- High level of integrity
- A proactive attitude and ability to work cross-functionally
- Organized and detail-oriented with big picture capability
- Qualified in Australia, Singapore or Hong Kong
