What's the opportunity?
Intercom’s Legal team is seeking a dedicated Associate Corporate Counsel to support our corporate, board, equity and securities matters, as well as help support other corporate governance and compliance initiatives. You will collaborate and partner with our Finance, Accounting, Tax, Stock Administration, H.R., and other teams throughout the organization on board, corporate, governance and compliance matters. The position is based in San Francisco, California.
What will I be doing?
- Support on a broad range of corporate secretarial and governance matters relating to late-stage private SAAS company governance processes, the board of directors and general corporate projects
- Provide corporate governance advice and support, including drafting, preparation and distribution of board and committee meeting materials and resolutions
- Manage corporate structure, including oversight of domestic and international subsidiaries and entity management
- Maintain relevant corporate and compliance records
- Assist with and liaise on board matters, including director onboarding and offboarding
- Work closely with the Stock Administration and HR teams to support the Company’s equity plan administration and other equity matters
- Provide support for strategic corporate transactions, including financing or M&A deal structure and LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution
- Advise on a range of corporate-related matters such as insider trading policy and trading plans, executive compensation, equity plans, stock administration and related policies
- Draft clear and concise resolutions, agreements, policies and procedures, as necessary
- Support public company readiness and compliance framework
- Support development and implementation of compliance and ethics programs in collaboration with the Accounting, HR and Security teams
- Develop strong relationships with cross-functional teams, including Finance, Stock Administration, Tax, Security and Human Resources
- Support the continuous improvement of policies, procedures and forms for the Legal department.
- Support special projects as needed
What skills do I need?
- 5+ years relevant experience as an attorney with a law firm or in-house legal department
- An ability to multi-task which includes handling a variety of legal issues simultaneously and ability to thrive in a fast-paced environment
- Attention to detail, strong organizational skills, a sense of passion to support Intercom’s corporate initiatives and the versatility and confidence to take on challenges that are presented to you
- Interest in corporate compliance and ethics, with a willingness to develop policies, guidelines, training programs and processes
- High level of initiative, flexibility, and adaptability to meet a variety of challenges and priorities
- Excellent interpersonal skills and a team-first approach
- Positive attitude, good humor, high empathy, and composure in challenging situations
- J.D. degree from an accredited law school and California state bar licensed attorney (or ability to be registered as in-house counsel if licensed in another U.S. jurisdiction)

The base salary range for candidates within the San Francisco Bay Area is $159,563-$185,438. Actual base pay will depend on a variety of factors such as education, skills, experience, location, etc. The base pay range is subject to change and may be modified in the future. All regular employees may also be eligible for the corporate bonus program or a sales incentive (target included in OTE) as well as stock in the form of Restricted Stock Units (RSUs).
