About This Role

The Corporate Paralegal will be responsible for reviewing, redlining, and processing various contracts to support commercial and legal teams, maintaining and developing processes and/or tools that allow for effectiveness and efficiencies inside the legal department, form and maintain corporate entities including coordination with third parties and government bodies, prepare and maintain corporate records
including minutes and resolutions, participate in due diligence efforts and provide corporate-focused support for financings and commercial transactions, support business units and attorneys in managing corporate functions like policy development and intellectual property matters as well as project development, construction, operations and trading matters, conduct onboarding on legal processes and tools for new employees, interface with outside counsel and third party vendors to support the corporate legal department, and assist attorneys in special projects as assigned.

Team Overview

The Legal – Development, Operations, and Governance team consists of multiple attorneys and paralegals and operates under the leadership of the EVP & GC, Head of Legal – Development, Operations, and Governance. The team provides legal support across the organization on corporate governance matters, contract management, and project-related activities, and collaborates with other departments on key business initiatives, including financing transactions and other strategic efforts.

What You'll Do

  • Review, redline, and process a variety of contracts, including but not limited to Non-Disclosure Agreements (NDAs), Master Service Agreements (MSAs), Consulting Agreements, energy industry agreements across various project stages, and financing agreements. Support attorneys by identifying similar scenarios and precedents, utilizing playbooks for risk analysis, and collecting and organizing background documentation to facilitate legal review and responses.
  • Collaborate with commercial and legal teams by tracking negotiation positions throughout the contract negotiation process, identifying trends, and recommending updated standards and practices.
  • Maintain the legal contract management repository by profiling contracts, identifying key deadlines, and monitoring contractual obligations related to renewable energy project development, construction, and operations.
  • Compare, evaluate, and assist in the creation, implementation, and maintenance of corporate tools, templates, processes, systems, and guidelines. Identify repetitive activities that can be standardized and incorporated into legal workflows.
  • Maintain internal and external approval processes and support adherence to corporate policies and procedures.
  • Conduct onboarding for commercial partners on legal processes, including the use of templates, systems, and tools.
  • Provide training to commercial teams on legal processes and best practices.
  • Conduct legal research as requested.
  • Participate in due diligence efforts and provide support for financings and other commercial transactions.
  • Support attorneys in policy development and implementation.
  • Support attorneys on operational matters at both the project and corporate levels.
  • Support attorneys on commercial energy trading matters.
  • Interface with outside counsel and third-party vendors as needed.
  • Support special projects and additional assignments as requested.
  • Provide corporate organization and entity management, including:
    • Formation, maintenance, and dissolution of entities

    • Creation and maintenance of corporate organizational charts

    • Conducting lien searches

    • Tracking and managing membership interest certificates and share certificate logs

    • Maintaining cap tables and equity records

    • Assisting in the review and maintenance of corporate governance records

    • Review and draft corporate documents, including resolutions, written consents, and assignments

What You'll Bring

  • Bachelor’s Degree, paralegal certificate preferred
  • Ability to work during Central Standard Time or Pacific Standard Time Coast business hours
  • Strong computer and technology skills including
  • Google suite, Slack, Carta (or other cap table management tool), and contract management platforms
  • Willingness to work in a fast-paced environment, managing more than one project at a time 
  • Ability to handle self under pressure, work independently, and follow through on tasks to completion in a timely manner with little oversight by a manager
  • Ability to self lead and take initiative
  • Ability to adapt to change and remain nimble to support company needs
  • Ability to identify issues and propose solutions
