Qualified Company Secretary

About the Position
Jane Street Capital, a global trading firm, is looking for a qualified Company Secretary to work in a supportive role alongside one other Company Secretary in our Mumbai office. As we continue to grow in India, you will play a critical role in keeping our operations efficient and compliant.
Responsibilities of the role will include:
- Planning and facilitating our board meetings, board resolutions, EGM’s and AGMs, along with preparing relevant documents and filings with the Registrar of Companies, Ministry of Corporate Affairs (MCA) and under the requirements of the Companies Act 2013 and other applicable regulatory requirements in India with respect to wholly owned subsidiary of a foreign entity (eg., FEMA)
- Preparing corporate secretarial documents and drafting other regulatory paperwork and external correspondence with third parties as needed
- Assisting as the compliance officer for our India entity and coordinating with with other Jane Street teams globally on compliances with respect to SEBI, stock exchanges and FEMA
- Administering and maintaining records of NISM certifications
- Helping other Jane Street teams in the gathering and preparing of documents needed for regulatory filings, annual audits and internal audits in accordance with exchange rules
- Liaising with stock exchange auditors and gathering any requested materials for internal review
- Preparing regulatory submissions for internal review before their deadlines
- Maintaining up-to-date and compliant statutory records, and producing them for audits and inspections
About You
- A qualified company secretary with an active membership with the Institute of Company Secretaries of India (ICSI)
- 6+ years of post-qualification experience in handling corporate secretarial matters for a private limited company, with a deep knowledge of secretarial standards and corporate governance for private companies
- Familiar with stock exchange rules and regulations in India
- Self-starter who can manage their time effectively, multi-task and meet deadlines
- Trustworthy and discreet; can work independently with strong ethics and integrity
- Interested in learning more about the compliance side of our business
- Bachelor’s degree in law would be a plus
- Fluency in written and spoken English is required
