We are seeking a Commercial Counsel to join our Legal team. This role will focus on negotiating and managing a wide variety of commercial agreements with an emphasis on digital media, marketing, adtech, and creative. The ideal candidate will also bring experience in global privacy and data protection compliance. This position includes management responsibilities for two legal professionals and offers the opportunity to support strategic, cross-functional initiatives across Kepler’s global offices in the U.S., UK, Costa Rica, Singapore, and the Philippines.

This role will also play a part in supporting cross-company opportunities and collaborations within our parent company’s broader global network.

Key Responsibilities
  • Draft, review, and negotiate a wide range of commercial agreements, including client services, vendor, licensing, partnership, and technology contracts.
  • Advise on privacy and data protection issues across multiple jurisdictions (e.g., GDPR, CCPA, PIPEDA), including supporting the development of internal policies and compliance frameworks.
  • Partner with internal business teams to support day-to-day legal needs and ongoing operational initiatives.
  • Manage and mentor two legal team members, providing oversight, guidance, and professional development support.
  • Engage in collaborative projects with legal and business stakeholders from our parent company and affiliates.
  • Contribute to continuous process improvements for contract management, risk mitigation, and legal operations.

Qualifications
  • Juris Doctor (JD) or equivalent legal degree; admitted to practice in at least one U.S. jurisdiction or Canadian province.
  • 5+ years of relevant legal experience, preferably in-house at a digital media, advertising, or technology company.
  • Strong proficiency in commercial contracting, including marketing/media-specific agreements.
  • Experience advising on privacy and data use issues, with working knowledge of relevant global regulations.
  • Comfortable operating in fast-paced environments and making informed decisions with limited or evolving guidance.
  • Strong written and verbal communication skills; able to convey legal concepts clearly to non-legal audiences.
  • Comfortable working across time zones and supporting global operations.

 

Total Compensation:

  • Base Salary (CAD): $120,000 - $180,000 
  • Target Annualized Discretionary Bonus: 10% 
  • Target Total Cash (CAD): $132,000 - $198,000
