The Opportunity at Komodo Health:


Team: An integral part of the Legal Team at Komodo Health, the Contracts Team is responsible for drafting, negotiating and managing contracts across the entirety of the Komodo organization.  We work in partnership with business units across the organization to draft, negotiate and manage contracts for the company organization.  Our team works to creatively solve contracting challenges in a fast paced and goal driven environment. 


Mission: The Senior Contracts Manager role exists to develop, execute and manage all manner of contracts at Komodo Health.  This includes independently negotiating, drafting, reviewing, and managing contracts to ensure compliance with company policies and legal requirements. The successful candidate will work closely with various departments, including legal, finance, sales, and operations, to ensure that contracts are drafted and executed in accordance with Komodo internal policies. A Senior Contracts Manager will have primary responsibility for working with complex customer segments on their specific contracting needs as well as serving as a liaison to the legal and compliance teams to triage questions, manage prioritization, and ensure transparency in the process, and drafting and negotiating vendor contracts as part of procurement in coordination with the finance team. 

Looking back on your first 12 months at Komodo Health, you will have accomplished…

  • Draft, review, and negotiate a high volume of commercial and/or public sector contracts, including but not limited to sales agreements, service contracts, licensing agreements, and vendor contracts.
  • Collaborate with internal stakeholders, including legal, finance, sales, and operations teams, to ensure contract terms align with business objectives and mitigate risks.
  • Maintain contract templates, guidelines, and best practices to streamline the contracting process and ensure consistency across all agreements.
  • Manage contract lifecycle, including contract renewals, amendments, and terminations, to ensure compliance with contractual obligations and optimize commercial terms.
  • Conduct contract analysis as required to provide insights and recommendations on contract terms for internal stakeholders. 
  • Work as liaison to a complicated business segment to field, triage and answer questions, negotiate contracts consistently, and provide transparency into timing and prioritization of open requests. 
  • *If managing team, manage Contracts Managers and support their prioritization, negotiation, drafting, and growth in role.

You will accomplish these outcomes through the following responsibilities…

  • Contract Negotiation and Drafting: Manage negotiations with clients, vendors, and partners to establish favorable contract terms and conditions
  • Contract Management: Maintain and suggest improvements to contract management processes and procedures to streamline workflows and improve efficiency. Maintain Company’s centralized contract repository and tracking system to monitor contract status, key dates, and obligations and provide regular reports to internal stakeholders. 
  • Stakeholder Collaboration: Collaborate with internal stakeholders, including sales, finance, operations, compliance and other members of the legal team, ensure contracts are written in concert with Komodo policies and internal business requirements. Coordinate stakeholder input during contract negotiations. 
  • Segment Contracts Lead: Become a trusted business segment liaison to ensure transparency, prioritization, communication and consistency in their interactions with the legal and contracts team.
  • *If managing - Team Management: Develop relationships with Contracts Managers, support questions and skill development of team members, facilitate assignments and prioritization of work.

What you bring to Komodo Health (required):

  • 8-15 years of experience in contract management, with a proven track record of drafting, negotiating and managing complex contracts in a corporate environment, including demonstrated ability to translate complex pricing models into company contract structures.
  • Strong analytical, negotiation, and communication skills, with the ability to influence and collaborate effectively with internal and external stakeholders.
  • Deep understanding of data licensing and usage rights in commercial contracts.
  • Demonstrated business minded approach to contract negotiations with understanding of financial principals related to SaaS and data licensing revenue recognition and ability to structure deals in coordination with finance and revenue teams to meet ARR, revenue recognition, cash flow and churn goals.
  • Proficiency in contract management software and tools (e.g., Salesforce, LinkSquares, etc.).
  • Ability to work independently and manage multiple projects simultaneously, but also collaboratively to accomplish business goals with other contracts team members as well as internal (deal desk, sales, finance, leadership) and external (customer procurement and sales, vendor procurement) stakeholders.

Additional skills and experience we’d prioritize (nice to have)…

  • Management of team of contract managers in high volume, quick moving, complicated data driven contract revenue organization
  • Experience working at a data-driven technology company, particularly in a start-up environment 
  • Experience in healthcare data, life sciences industry, consulting industry and health tech industry 
  • Knowledge of public sector contracting practices and regulations

The pay range for each job posting reflects a minimum and maximum range of annual base pay that we reasonably expect to pay for this position within the US. We carefully consider multiple business-related factors when determining compensation, including job-related skills, work experience, geographic work location, relevant training and certifications, business needs and market demands.

 

The starting annual base pay for this role is listed below. This position may be eligible for performance-based bonuses as determined in the Company’s sole discretion and in accordance with a written agreement or plan. This role may also be eligible for equity awards. In addition, this role is eligible for benefits including, but not limited to, comprehensive health, dental, and vision insurance; flexible time off and holidays; 401(k) with company match; disability insurance and life insurance; and leaves of absence in accordance with applicable state and local laws and regulations and company policy. 

San Francisco Bay Area and New York City:

$162,000 - $200,000 USD

All Other US Locations:

$140,000 - $170,000 USD
