As a Principal Contracts Manager you will be responsible for leading the drafting, review, and negotiation of complex commercial agreements that support MCG’s strategic partnerships, technology integrations, business growth and related technology-enabled business arrangements. You will serve as a strategic advisor and subject matter expert, partnering across internal and external stakeholders to structure and negotiate agreements that align with business objectives while managing risk. You will primarily support high-complexity, custom agreements, including partnership agreements, API integrations, SaaS services, and other technology-enabled commercial arrangements. 

You Will: 

  • Draft, review, negotiate, and manage complex and custom commercial agreements, including partnership agreements, API integrations, SaaS agreements, amendments, and related documents. 
  • Partner closely with the Legal and Product and Partnership leadership, including the VP, Product – Health AI, to structure and support strategic partnership agreements. 
  • Lead the structure and negotiation of high-complexity, high-visibility agreements supporting strategic partnerships and business initiatives. 
  • Define and evolve contracting strategies for partnership, technology integration, and other commercial agreements. 
  • Define and translate complex business objectives into effective contract structures and negotiation strategies. 
  • Advise stakeholders on deal structure, contractual risk, and commercial terms to support informed decision-making. 
  • Partner with cross-functional teams including Business Development, Sales, Product, Engineering, Legal, Finance, and leadership to align agreements with business goals. 
  • Lead contract discussions and negotiations with internal and external stakeholders to achieve mutually beneficial outcomes. 
  • Serve as the escalation point for complex, high-risk, or non-standard agreements requiring advanced judgment. 
  • Evaluate and communicate legal, financial, operational, and strategic risks in alignment with company policies and approval frameworks. 
  • Define and guide contract lifecycle approaches from intake through negotiation, approval, execution, and amendment. 
  • Design, develop, and standardize contract templates, playbooks, and frameworks to improve efficiency, consistency, and scalability. 
  • Define and drive improvements to contracting workflows, processes, and tools to reduce friction and improve cycle times. 
  • Drive cross-functional alignment on contracting approaches for strategic partnerships and emerging business models. 
  • Shape and influence contracting standards and approaches across the organization for complex commercial agreements. 
  • Develop a working understanding of MCG’s business model, market dynamics, and customer needs to inform contracting decisions. 
  • Translate legal, technical, and business concepts into clear, practical guidance for diverse stakeholder audiences. 
  • Influence outcomes through collaboration, sound judgment, and subject matter expertise rather than formal authority. 
  • Operate independently in a remote environment, managing multiple priorities and deadlines in a fast-paced setting. 
  • Bring structure and clarity to ambiguous situations and evolving business needs 

 

 What We’re Looking For: 

  • Bachelor’s degree in Computer Science, Engineering, Mathematics, or a related field or equivalent experience.  
  • At least 12 years of progressive experience in contracts management, including drafting, negotiating, and structuring complex commercial agreements such as partnerships, SaaS, and technology integration agreements. 
  • Proficiency with contract lifecycle management tools, CRM platforms (e.g., Salesforce), and e-signature tools. 
  • Significant experience drafting, reviewing, and negotiating complex commercial agreements, including partnership agreements, SaaS agreements, and technology integration agreements. 
  • Demonstrated ability to structure and negotiate non-standard, high-complexity agreements with multiple stakeholders. 
  • Proven ability to define contract strategies and align contractual outcomes to diverse business objectives. 
  • Strong experience partnering with cross-functional stakeholders, including Sales, Business Development, Product, Engineering, Legal, Finance, and leadership. 
  • Demonstrated ability to operate independently in ambiguous and fast-paced environments. 
  • Excellent negotiation, communication, and stakeholder management skills. 
  • Strong judgment and ability to develop practical, business-oriented solutions within established policies and risk frameworks. 

 

Other Qualifications: 

  

  • Advanced degree such as an MBA, JD, or other relevant graduate degree preferred. 
  • Experience supporting strategic partnerships, technology integrations, or complex commercial business models. 
  • Familiarity with data sharing terms, privacy considerations, security reviews, and service level agreements. 
  • Experience developing or improving contract templates, playbooks, or contracting processes. 
  • Experience working in healthcare, healthcare technology, or other regulated industries. 
  • Advanced proficiency in Microsoft Office and collaboration tools such as Teams.

Pay Range: $134,000 – 187,000
