Legal Counsel
Hong Kong; Singapore
Location: Hong Kong or Singapore
Key Responsibilities
- Fund formation & structuring — Lead the drafting, review and negotiation of fund establishment and constitutive documents, with a particular focus on Variable Capital Companies (VCCs) and related fund structures.
- Investor documentation — Prepare and negotiate subscription agreements, side letters, investor onboarding documentation and disclosure materials.
- Corporate & commercial contracting — Draft, review and negotiate vendor, service, technology and data agreements, NDAs, intellectual property arrangements and other commercial contracts.
- Entity management & governance — Support the incorporation and ongoing maintenance of fund and management company entities, including overseas office set-up; coordinate with corporate secretarial service providers.
- Employment — Prepare and maintain template employment agreements and advise on day-to-day employment matters across jurisdictions.
- Regulatory-adjacent legal support — Work alongside the Compliance function on the legal interpretation of regulatory requirements affecting fund operations and licensing.
- External counsel & legal spend — Instruct and manage external counsel on specialist and cross-border matters, and help manage legal spend.
- Business partnering — Provide pragmatic, commercially grounded legal advice to the investment, operations and management teams.
Requirements
- Qualified lawyer admitted in Singapore or Hong Kong (or a comparable common law jurisdiction).
- Approximately 4–7 years PQE, with substantive experience in funds / investment management legal work.
- Hands-on fund formation experience is essential — in particular the establishment and structuring of Singapore VCCs. Familiarity with comparable vehicles (e.g. Cayman funds, Hong Kong OFCs) is an advantage.
- Solid corporate and commercial contracting experience.
- Experience gained in-house at an asset / fund manager, or in a funds practice at a reputable law firm.
- Strong drafting and negotiation skills, with the ability to manage multiple workstreams independently.
- Commercially minded and solutions-oriented — able to translate legal risk into practical, executable business guidance rather than purely theoretical advice.
- Able to onboard quickly and operate effectively with limited supervision.
- Cross-border exposure (e.g. China, India, the Middle East) is an advantage.
