We are seeking a Paralegal, Corporate & Regulatory Compliance to support Midi’s legal team across regulatory filings, entity management, equity administration, and finance coordination. This role will help keep Midi and its affiliated professional entities in good standing across many states. It will administer our equity program and serve as a key liaison between Legal and Finance.

The ideal candidate is a detail-driven, proactive paralegal who brings structure to recurring deadlines, owns their work from intake to completion, and knows when to escalate to an attorney. This role works closely with the legal team, Finance, People, Clinical Operations, outside counsel, and service providers.

Key Responsibilities: 

Regulatory Filings and Compliance Calendar

  • Prepare, file, and track state and federal regulatory filings for Midi and its affiliated professional entities, under attorney supervision.
  • Support state-level filings for professional entities, including formations, ownership and officer changes, and other required updates.
  • Help prepare and maintain healthcare regulatory applications, renewals, and supporting documentation, coordinating with Clinical Operations and licensing teams as needed.
  • Maintain a centralized compliance calendar of filing deadlines, renewals, annual reports, and other recurring obligations.
  • Research state filing requirements and procedures, and flag changes or issues for attorney review.
Entity Management and Registered Agent Oversight

  • Serve as the primary point of contact with Midi’s registered agent and oversee its services across all jurisdictions.
  • Receive, log, and route service of process, government notices, and other registered agent correspondence promptly to the appropriate attorney.
  • Maintain the good standing of all entities, including annual reports, franchise tax filings, foreign qualifications, amendments, and withdrawals.
  • Maintain corporate records, minute books, entity charts, officer and director lists, and the entity management system.
  • Prepare board and stockholder consents, secretary’s certificates, good standing certificates, and other governance documents.
  • Support board meetings by preparing materials, tracking approvals, collecting signatures, and maintaining records.
Equity Administration

  • Administer Midi’s equity program and maintain accurate capitalization records in Carta or a similar platform.
  • Prepare equity grant documents and board approvals, and process grants, exercises, cancellations, transfers, and terminations.
  • Track vesting, post-termination exercise periods, and 83(b) election documentation.
  • Coordinate with Finance and outside providers on 409A valuations and stock-based compensation reporting.
  • Monitor equity issuances for securities law compliance and state notice filings.
  • Respond to employee equity questions and escalate tax, securities, or plan interpretation questions to the appropriate attorney or advisor.
  • Support financings, secondary transactions, and other corporate matters by managing diligence requests, data rooms, signature packets, and closing documents.
Finance and Legal Liaison

  • Serve as the day-to-day liaison between Legal and Finance on entity, equity, audit, tax, and contract-related matters.
  • Coordinate franchise tax payments, filing fees, and registered agent invoices with Finance.
  • Help manage outside counsel and legal vendor invoices, budget tracking, and spend reporting.
  • Support audit requests, including legal confirmations, equity reconciliations, and corporate documentation.
  • Track and document intercompany agreements and payments between Midi and its affiliated professional entities, in coordination with Finance and Legal.
  • Help maintain contract records and key obligation trackers relevant to Finance, including payment terms, renewals, and notice deadlines.

  • Confident with people at all levels: You work comfortably with executives, finance leaders, clinicians, employees, and outside advisors.
  • Comfortable with ambiguity: You ask thoughtful questions and focus on details while understanding the legal team’s broader priorities.
  • Discreet: You handle confidential corporate, equity, and personnel information with professionalism.
Experience & Qualifications

  • Minimum 5 years of experience as a corporate paralegal at a law firm, in-house legal department, or both.
  • Hands-on experience with entity management across multiple states, including annual reports, foreign qualifications, and registered agent coordination.
  • Hands-on equity administration experience using Carta, Shareworks, or a similar platform.
  • Experience working with Finance on audits, tax filings, equity reporting, or legal spend.
  • Healthcare, digital health, or other regulated-industry experience is a strong plus, particularly with professional entities or healthcare licensing filings.
  • Experience at a venture-backed or high-growth company is a plus.
  • Bachelor’s degree or paralegal certificate preferred.
  • Proficiency in Google Workspace or Microsoft Office, Slack, and e-signature platforms.
  • Comfort with entity management systems, CLM tools, and AI tools is a strong plus.
Compensation

The base salary range for this role is $120,000 - $135,000 annually. Final compensation will depend on experience, skills, and qualifications. This role is eligible for equity and benefits.
