Based at our headquarters in State College or our Chicago, IL office and reporting to the Chief Legal Officer, you’ll join a collaborative Legal team and work closely with colleagues across Sales, Finance, Sales Operations, Information Security, Professional Services, and Vendor Management.

This role combines hands-on contract drafting and negotiation with business partnership and process improvement. You’ll help teams navigate contracting requirements, resolve obstacles, and move agreements from initial request through execution and operational handoff.

What you’ll do

Support global sales and partner agreements

  • Manage contracting intake and coordination for software subscription and license agreements, order documents, statements of work, partner agreements, renewals, and amendments.
  • Draft, review, and negotiate commercial agreements in coordination with the Legal Department and within approved negotiating positions and delegated authority.
  • Help Sales structure transactions consistent with approved pricing, discounting, licensing, and contracting requirements.
  • Coordinate cross-functional reviews and approvals, document exceptions, and recommend practical alternatives when issues arise.
  • Provide guidance, training, and resources that help Sales navigate contracting processes and systems.

Guide procurement and vendor contracting

  • Draft, review, and negotiate vendor agreements under the direction of the Legal Department and in partnership with Vendor Management.
  • Support agreements covering technology and cloud services, consulting, professional services, confidentiality, and data processing and security terms.
  • Provide hands-on guidance to employees and business owners, helping them complete intake, select templates, obtain approvals, and resolve process obstacles.
  • Communicate agreement status, follow up with reviewers, and escalate risks or stalled decisions.

Manage workflows and improve processes

  • Track transaction status, dependencies, approvals, and turnaround times to keep agreements moving.
  • Coordinate execution by authorized signatories, maintain complete contract records, and support the handoff of executed terms to order management and operational teams.
  • Maintain templates, clause libraries, playbooks, and guidance materials.
  • Use transaction data and recurring issues to improve workflows, training, automation, and controls.
  • Ensure agreements reflect approved commercial terms and revenue-recognition determinations made by Revenue Accounting.
  • Escalate legal, commercial, financial, and operational risks to the appropriate decision-makers.

What you’ll bring

  • A bachelor’s degree in business or a related field.
  • At least five years of experience drafting and negotiating commercial software, SaaS, or technology licensing contracts, including domestic and international customer or partner agreements.
  • Experience drafting and negotiating procurement and vendor agreements and guiding business owners through cross-functional contracting workflows.
  • Working knowledge of intellectual property, software licensing, and commercial contracting principles.
  • Strong negotiation, analytical, problem-solving, and written and verbal communication skills.
  • The ability to manage competing priorities, coordinate multiple stakeholders, and move transactions forward in a changing environment.
  • The ability to learn Minitab’s agreements, business functions, and information-security review processes for cloud products.
  • Experience using transaction data and recurring issues to improve processes, templates, controls, and training.
  • The ability to speak, read, write, and understand English and travel as requested.

Qualifications that would be a plus

  • A law degree, paralegal certification, or comparable legal or contracts training.
  • Experience with Deal Desk functions and processes.
  • Working knowledge of software revenue-recognition principles and their application to deal structure, contracting, and order processing.
  • Experience with contract management, CRM, quoting, or workflow systems.
  • Proficiency in French, German, Spanish, Japanese, or Korean.
