Since our founding, NLC has created more than 80 ventures across Europe and the US together with a global network of hospitals, universities and industry partners. NLC also operates several investment funds that invest in our new and existing portfolio companies.

To support the continued growth of our venture portfolio, we are looking for a Legal Counsel to join our legal team in Amsterdam.

The role

You will work closely with the Head of Legal and a Senior Legal Counsel, supporting both NLC and the ventures we build. The legal team is responsible for all legal aspects of NLC, its funds and its portfolio of more than 80 ventures, all of which are currently divided across the team.

A central part of your role will be acting as the first legal point of contact for a number of ventures, working directly with venture CEOs and internal teams such as venture developers, venture finance and commercial partners.

Your work will include:

  • Supporting ventures through their investment lifecycle (convertibles, SAFEs, equity transactions) 
  • Drafting and coordinating shareholder and corporate governance documentation (shareholders agreements, resolutions)
  • Assisting with venture incorporations, restructurings and liquidations
  • Preparing and negotiating venture-related agreements, including IP and collaboration agreements
  • Supporting the structuring of new ventures together with the relevant business units
  • Assisting with corporate matters at group level, including general meetings and other governance processes
  • Supporting compliance and KYC processes across the venture portfolio
  • Contribute to knowledge storing and management within the legal team 

The role offers early exposure to venture financing, governance and venture structuring across a large portfolio of healthtech startups.

Because of the size of the legal team, you will work closely with key stakeholders across the organisation, including venture CEOs, investors and internal leadership.

This position comes with significant responsibility early on. You will be expected to take ownership of matters and contribute actively to structuring solutions together with the business.

At the same time, the legal team works in close collaboration. Matters are regularly discussed within the team and you will be mentored and guided directly by both the Head of Legal and the Senior Legal Counsel.

The role therefore suits someone who is comfortable taking ownership in a small team where matters move quickly, and who is not afraid to be decisive when navigating the uncertainties that can arise in venture building.

Who you are 

You are likely a corporate, VC, or M&A legal professional. You are energized by the high-growth environment of early-stage startups and are comfortable finding legal pathways in situations where there isn't always a clear precedent.

Your background:

  • Education: A Dutch Master’s degree in Law (LL.M.).
  • Experience: 2–4 years of relevant experience in VC, corporate law, or a transactional legal practice.
  • Language: Fluency in both English and Dutch is essential for navigating Dutch corporate law and stakeholder management.
  • The "Venture Builder" Mindset: You are proactive, pragmatic, and enjoy the challenge of managing multiple ventures at different stages of their lifecycle.
  • Communication: You can translate complex legal risks into clear, actionable advice for non-legal stakeholders.
