Notion is an in person company, and currently requires its employees to come to the office for two Anchor Days (Mondays & Thursdays) and requests that employees spend the majority of their week in the office (including a third day).
About The Role:
As Corporate Counsel, you will support and lead corporate transactions and provide innovative, practical and scalable legal guidance on a broad range of transactional, governance and compliance matters. This role will collaborate with stakeholders across the organization to drive key projects and initiatives and help shape our corporate legal strategy.
What You'll Achieve:
- Advise on corporate and securities matters, including governance, board management, securities compliance, corporate transactions and stockholder matters.
- Develop and maintain a robust corporate compliance program while building processes and infrastructure to scale the corporate legal function.
- Counsel on equity matters, including Notion’s equity compensation programs.
- Execute M&A deals and other strategic transactions, including leading due diligence, negotiation and post-closing integration processes.
- Support Notion’s expanding international operations, including forming and managing corporate subsidiaries.
- Advise on investor relations matters.
Skills You'll Need to Bring:
- 5+ years of legal experience at a top tier law firm counseling high-growth technology companies and/or in-house at a software technology company.
- Admitted to the California Bar or eligible for Registered In-House Counsel exception and in good standing.
- Deep knowledge of corporate governance matters and securities laws.
- Extensive experience leading complex corporate transactions, including financings, M&A, and secondary transactions.
- Demonstrated ability to deliver strategic, practical and solution-focused legal guidance to stakeholders across all organizational levels.
- Self-starter who can work independently and collaboratively in a fast-paced environment, solving problems creatively while balancing legal risks and business objectives.
- Outstanding written and verbal communication skills, including strong attention to detail.
- Experience with equity compensation matters and management of equity compensation programs.
- Resilience and resourcefulness, with proven ability to build trust and strong partnerships with internal and external stakeholders and to make recommendations and decisions with imperfect facts.
- Demonstrated interest in artificial intelligence solutions in a work setting.

- Experience managing subsidiary compliance across multiple international jurisdictions
- Experience with SEC reporting

Notion is committed to providing highly competitive cash compensation, equity, and benefits. The compensation offered for this role will be based on multiple factors such as location, the role’s scope and complexity, and the candidate’s experience and expertise, and may vary from the range provided below. For roles based in San Francisco, the estimated base salary range for this role is $220,000– $250,000 per year.
