Corporate Paralegal

Location: Santa Clara, CA or Remote
Position Description:
The Corporate Paralegal will play a crucial role supporting our Legal team build a scalable and resilient legal infrastructure to support the Company’s continued growth. More specifically, we are looking for a Corporate Paralegal to support our efforts relating to corporate governance (in particular overseeing our subsidiaries and managing our intercompany agreements), facilitating SEC filings, outside counsel management, matter management, and other key areas of administrative support.
Specific responsibilities may include:
- Oversee corporate governance requirements for Oklo’s subsidiaries, including helping to incorporate new entities, and tracking required filings, registrations, and intercompany agreements;
- Ensure all of Oklo’s board and corporate governance documents are up to date;
- Assist with submission and docketing of various legal filings (for example required SEC filings, using Workiva)
- Oversee outside counsel management efforts, including overseeing our legal billing system, implementing Outside Counsel Guidelines, and working with firms on monthly accruals;
- Build and manage a structured repository for all Legal files and records, and keep the repository updated;
- Help to maintain internal legal trainings and resources;
- Assist with various other projects, including litigation records collection, evidence gathering, preparing diligence questionnaires, etc.
Competencies:
We are looking for a Corporate Paralegal that is:
- Comfortable supporting a range of legal needs, including entity management, SEC filings, outside counsel billing and budgeting, legal knowledge management, etc.
- A systems thinker that is comfortable both building for the long-term (and project managing cross-functional tasks to completion) and rolling their sleeves up to get things done in the short term
- Willing to think creatively: knowledgeable about how other teams approach legal department needs, but excited to think creatively and critically about the problems they are solving and to try new approaches
- Detail-oriented while moving lightning fast
- Passionate about clean energy and making advanced fission a reality
- An optimist at heart
- Willing and able to learn quickly
- Comfortable in a fast-paced, highly iterative startup environment
Minimum Qualifications:
- Experience managing entities from creation to dissolution, including managing all associated corporate governance and compliance requirements
- Knowledge of legal billing practices and managing outside counsel budgets
- Experience at a public company, and supporting on public company/SEC-related legal work
- Experience using an online platform (like Workiva) to prepare and complete SEC filings
- Experience supporting Board-related corporate governance needs
- Paralegal certification, or experience working as a paralegal
Bonus Qualifications:
- Energy or Project Finance experience (particularly relating to entity management)
- Experience using CTAdvantage (for entity management), and Diligent (for Board materials)
- Experience supporting litigation
- A strong understanding of legal department needs
- An interest in legal technology

About Oklo compensation: $100,000-150,000

About Oklo Inc.: Oklo Inc. is developing fast fission power plants to deliver clean, reliable, and affordable energy at scale; establishing a domestic supply chain for critical radioisotopes; and advancing nuclear fuel recycling to convert nuclear waste into clean energy. Oklo was the first to receive a site use permit from the U.S. Department of Energy for a commercial advanced fission plant, was awarded fuel material from Idaho National Laboratory, and submitted the first custom combined license application for an advanced reactor to the U.S. Nuclear Regulatory Commission. Oklo is also developing advanced fuel recycling technologies in collaboration with the U.S. Department of Energy and U.S. National Laboratories.
