Senior Commercial Counsel

We are seeking two accomplished and highly motivated attorneys to join Omada’s Legal team as our next Senior Commercial Counsel hires. We are hiring two roles at the same level: one focused on revenue‑driving transactions with Omada’s customers and partners (Customer focus) and one focused on vendor agreements supporting Omada’s sourcing, operations, technology, and other internal procurement initiatives (Procurement focus). Reporting to the Senior Director, Legal, these roles will own and drive a variety of complex commercial contracts across our rapidly growing digital health organization. The ideal candidates are adept dealmakers who pair strong drafting and negotiation skills with the judgment and communication style needed to drive successful outcomes across a range of complex transactions. These positions offer a unique opportunity to significantly impact our business operations by providing practical, business‑minded legal guidance in a dynamic, innovative environment at the intersection of healthcare and technology.

Your Impact:

Core responsibilities for both roles:

  • Serve as a primary legal partner for key internal stakeholders, guiding the end‑to‑end contracting process from strategy through execution
  • Draft, review, and negotiate a broad range of complex commercial contracts to ensure alignment with Omada’s business goals, policies, and risk tolerance
  • Develop and lead  the contracting strategy within your focus area (Customer or Procurement), establishing operational objectives, shaping playbooks,  standard terms, negotiation frameworks and risk‑tolerance guardrails aligned with Omada’s goals and policies
  • Provide pragmatic, business‑minded guidance on contract‑related issues to stakeholders across the organization, balancing legal risk with business objectives
  • Design and implement scalable and innovative tools,  processes, playbooks, and templates to enhance speed, consistency, and efficiency across the commercial legal function, proactively identifying and driving department‑level improvements
  • Collaborate with other members of the legal team to help ensure compliance with federal and state healthcare regulations, including HIPAA, fraud and abuse laws, and emerging digital health regulations, while supporting Omada’s growth initiatives
  • Maintain comprehensive deal trackers, manage multiple high‑priority projects simultaneously, and ensure timely execution of legal deliverables in a fast‑paced environment
  • Create and strengthen cross‑functional relationships to align on deal strategy, resolve complex issues, and drive consistent, business-minded and scalable contracting practices across the organization

Additional focus for the Customer role:

  • Serve as a primary legal partner for the commercial business unit and provide end‑to‑end support for revenue‑driving customer and partner transactions
  • Draft, review, and negotiate complex outbound commercial contracts, including master services agreements, provider agreements, business associate agreements, and strategic partnership agreements with employers, health plans, pharmacy benefit managers, health systems, and other large, sophisticated strategic partners

Additional focus for the Procurement role:

  • Serve as a primary legal partner for business units across the organization seeking to procure goods and services and provide end‑to‑end support for vendor and procurement transactions
  • Draft, review, and negotiate complex inbound commercial contracts, including software licenses, SaaS and technology agreements, AI/ML solution agreements, supply chain agreements, professional services agreements, clinical trial agreements, agreements with care delivery professionals, consultant engagements, data processing and security agreements, and other vendor agreements

Each role may, as needed, provide overflow support to the other focus area (customer or procurement) based on business needs.

About you:

  • J.D. from an accredited law school and active membership in good standing with a state bar
  • 8+ years of relevant legal experience working on commercial and/or health care transactions, gained in-house and/or at a top U.S. law firm
  • Extensive background in drafting a wide range of agreements including service agreements, license agreements, SaaS agreements, data use agreements, partnership agreements, NDAs, and business associate agreements
  • Strong experience working with and counseling:
    • For the Customer focus: commercial and go‑to‑market teams (sales, account management, customer success, marketing) and cross‑functional partners in product, engineering, clinical, finance, and other functions that support revenue‑generating activities
    • For the Procurement focus: internal business partners (marketing, operations, supply chain, IT and security, product, engineering, clinical, finance, etc.) on sourcing and vendor relationships
  • Deep expertise and understanding of practical legal concerns in complex commercial and technology transactions and recognized as a subject‑matter expert in commercial contracting, with a strong grasp of market norms, risk allocation, and negotiation dynamics
  • Good understanding of federal and state privacy laws relating to personal information, including personal health information under HIPAA, and experience handling privacy and data security matters in commercial contracts
  • Superior negotiation skills, with a history of successfully and independently navigating complex transactions and high‑stakes discussions
  • Ability to understand complex issues, assess risk, and provide concise, practical, and business‑focused legal advice to stakeholders across the company
  • Excellent written and verbal communication skills, with the ability to convey complex legal concepts to non‑legal audiences
  • Ability to lead, manage, and prioritize competing transactions and other projects from inception to completion in a collaborative, fast‑paced environment
  • Comfortable navigating ambiguity and working on problems that are not clearly defined, using conceptual thinking and advanced experience to frame issues, propose options, and guide stakeholders toward practical decisions
  • Strong organizational, critical‑thinking, and problem‑solving skills, and exceptional attention to detail

Bonus Points for:

  • Prior work experience in the healthcare industry (including experience negotiating agreements with health insurance companies, pharmacy benefit managers, and/or health systems)
  • Experience with federal and/or state health care regulations (including fraud, waste, and abuse rules and anti-kickback statutes)
  • Demonstrated success in building and scaling legal processes and utilizing technology/tools to create efficient, replicable workflows for contract management
  • Experience with healthcare technology, digital health platforms, or telemedicine services

Below is a summary of salary ranges for this role in the following geographies:

California, New York State and Washington State Base Compensation Ranges: $197,800 - $247,300*, Colorado Base Compensation Ranges: $189,200 - $236,500*. Other states may vary.

This role is also eligible for participation in annual cash bonus and equity grants. 

*The actual offer, including the compensation package, is determined based on multiple factors, such as the candidate's skills and experience, and other business considerations.
