We are seeking an experienced Legal Counsel to join our team in Toronto and provide legal guidance and support on a variety of legal matters related to our business. The Legal Counsel will work closely with other departments within the company.

What you’ll be doing: 

• Provide legal advice and guidance on a broad range of legal matters, including corporate, governance, compliance, employment, workplace, commercial and intellectual property issues and topics
• Draft and review legal materials; including SaaS agreements, NDAs, master service agreements (MSA), commercial agreements, memorandums and policies
• Assist with compliance and risk management activities
• Monitor changes in law and regulations that may impact the business and provide guidance on compliance with these changes
• Provide legal support for corporate transactions, including financing transactions, and other strategic initiatives
• Ensure OneVest’s corporate structure aligns with its platform offerings to ensure scale and efficient growth 
• Collaborate with cross-functional teams to mitigate legal and enterprise risks
• Manage outside counsel and other legal services providers as necessary

Must Haves:

• A law degree from a Canadian law school and member in good standing with the Law Society of Ontario. Licensed to practice law in Ontario is required

• Minimum 5-7 years of relevant legal experience at a law firm or in-house legal department at a SaaS company, with a focus on corporate law and supporting technology and high-growth companies 
• Experience/understanding Consumer Protection, Privacy, Intellectual Property Law
• Ability to review, negotiate and draft a wide variety of commercial contracts, including but not limited to, SaaS agreements, master service agreements, software licences, purchase agreements, professional services agreements, and term sheets 
• Excellent communication, analytical, and problem solving skills
