
Senior Manager, Stock Plan Administrator

We are looking for a Senior Manager, Stock Plan Administration to lead and scale our equity administration function in support of the company’s continued growth and increasing operational complexity. This role is the company’s highest internal subject matter expert on equity compensation and owns the end-to-end administration, compliance, controls, and long-term scalability of our equity programs, exercising strong judgment in complex equity matters and advising senior stakeholders on equity-related decisions.
What you will do:
- Own and scale the company’s equity administration function, ensuring accurate execution, strong internal controls, and readiness for an increasingly complex and highly scrutinized operating environment.
- Serve as the primary owner of cap table integrity, managing all equity activity and continuously reconciling records across equity systems, legal documentation, and financial reporting.
- Own the company’s equity administration systems, including configuration, data integrity, reporting, integrations, automation, and the planning and execution of system implementations or migrations.
- Oversee global fair market value (FMV) determination processes for equity awards, including 409A valuations and other jurisdiction-specific valuation requirements, ensuring consistency, defensibility, and regulatory compliance worldwide.
- Plan and execute equity-related liquidity events and program changes, including transactions that alter exercise rights, liquidity access, or transferability, and provide thoughtful guidance to executives and employees on exercises, tax implications, and equity-related decision-making.
- Oversee equity administration across multiple jurisdictions, ensuring compliance with local laws, tax requirements, and reporting obligations in partnership with internal and external advisors.
- Act as the primary point of contact for equity-related audits, reviews, and diligence requests, ensuring accuracy, consistency, and timely delivery of materials.
- Support the Board of Directors and Compensation Committee by preparing equity-related materials, analyses, approvals, and ensuring accurate implementation of committee decisions.
- Partner with Legal and Finance on the design, interpretation, and ongoing maintenance of equity plans and award agreements, including plan amendments and new award structures.
- Design, document, and continuously improve equity administration processes to support long-term scalability, automation, and audit readiness.
- Serve as a thought partner to executive leadership on equity strategy, balancing employee experience, compliance, and long-term company objectives.
We would love to have you on our team if you have:
- 12+ years of stock plan administration experience, including senior ownership of equity programs in a high-growth, complex operating environment.
- Certified Equity Professional (CEP) designation preferred or equivalent depth of experience in equity compensation.
- Deep technical expertise in equity compensation (Options, RSUs, RSAs), fair market value (FMV) determinations, and IRS Section 409A.
- Experience leading complex equity initiatives such as liquidity events, significant program changes, or equity system implementations.
- Advanced experience with equity administration systems including system configuration, reporting, and data integrity, as well as strong Excel-based cap table and equity modeling skills.
- Strong cross-functional partnership skills, with the ability to advise Legal, Tax, Payroll, and Finance on complex, high-judgment equity matters.
- Executive-level communication and change management skills, with a demonstrated ability to clearly explain risk, impact, and tradeoffs to senior leadership.

Oura takes a market-based approach to pay, which may vary depending on your location. US locations are categorized into tiers based on a cost of labor index for that geographic area. While most offers will be closer to the starting range, successful candidates' pay will be determined based on job-related skills, experience, qualifications, work location, internal peer equity, and market conditions. These ranges may be modified in the future.
- Region 1 $175,000-$200,000
- Region 2 $154,000-$182,000
- Region 3 $139,000-$164,000
