Associate General Counsel  

Location: Playa Vista, California (in-person, five days per week) 

Launch has changed the economics of space. Now it is time to return. 

Outpost is building the missing infrastructure between orbit and Earth: reusable vehicles that can bring payloads back from space and deliver them to a precise location within hours. We call it exologistics, space-to-Earth logistics at planetary scale. This is not a paper concept or a distant roadmap. Our system is in active development, with core technologies advancing toward flight readiness. 

The need is already here and the market has responded. We have validated demand through multiple defense and civil agreements, and a growing pipeline across government and commercial customers.  

Outpost is building the logistics layer that makes space economically useful in a new way: the ability to move material from orbit to Earth quickly, reliably, and affordably. Over time, that supports point-to-point logistics, 10 tons of cargo, anywhere on Earth in an hour. It also creates the foundation for a reusable reentry network and enables new categories of space activity, including in-space manufacturing, supporting AI data centers, advanced manufacturing and novel materials. 

We have a strong foundation, clear demand, and a technical path in front of us. Now the company is scaling rapidly. We are expanding the team, growing our operational footprint, and building the systems needed to execute at the next level. The Role

The Associate General Counsel will serve as a key legal leader for the company, overseeing legal, regulatory, and compliance matters across the organization. This role is responsible for protecting the company’s interests by ensuring compliance with applicable laws and regulations, supporting government and commercial contracting activities, safeguarding intellectual property, and strengthening corporate governance practices. The Associate General Counsel will work closely with executive leadership and cross-functional teams to provide practical, business-oriented legal guidance that enables growth while managing risk.  

Responsibilities: 

Regulatory & Compliance 

  • Lead the company’s legal and regulatory compliance efforts across government and commercial operations.  
  • Monitor and interpret applicable laws, regulations, and industry requirements, and advise leadership on resulting obligations and risks. 
  • Support the development and execution of regulatory strategies aligned with the company’s business objectives. 
  • Partner closely with the Senior Director of Operations and other internal stakeholders to design, implement, and maintain compliance frameworks, policies, and internal controls. 
  • Help prepare the company for audits, reviews, certifications, and other regulatory oversight activities.  
  • Serve as Company Secretary, including maintaining corporate records, managing board and stockholder matters, and ensuring compliance with corporate governance requirements. 

Government Contracts & Legal Review 

  • Review, draft, negotiate, and manage a wide range of government contracts, subcontracts, and related agreements. 
  • Advise internal teams on contract compliance requirements, including FAR, DFARS, and other government procurement regulations.  
  • Support proposal development, contract administration, claims, modifications, and dispute resolution as needed.  
  • Provide legal guidance on contractual obligations, flow-down requirements, representations and certifications, and related risk areas. 
  • Assist with government audits, investigations, and regulatory inquiries.  

Intellectual Property & Patents 

  • Develop and manage the company’s intellectual property strategy in alignment with business and technology priorities. 
  • Oversee outside counsel regarding patent preparation, filing, prosecution, and portfolio management in collaboration with internal technical teams. 
  • Advise on protection of proprietary technology, trade secrets, confidential information, trademarks, and other intellectual property assets.  
  • Identify and mitigate IP-related risks, including potential infringement, ownership, and licensing issues. 
  • Support the development of internal practices to capture and protect innovations generated across the organization.  

Corporate Governance & Board Management 

  • Support the company’s corporate governance framework and ensure adherence to governance best practices. 
  • Manage board and committee legal support, including preparation and review of board materials, resolutions, minutes, and governance documentation.  
  • Maintain corporate records and ensure compliance with corporate formalities and filing requirements.  
  • Advise executive leadership on governance matters, entity management, and strategic legal considerations. 
  • Help support financing, strategic transactions, and other corporate matters as needed.  

Commercial Legal 

  • Draft, review, and negotiate a variety of commercial agreements, including NDAs, vendor contracts, customer agreements, teaming agreements, and strategic partnership documents. 
  • Provide practical legal advice to business stakeholders on operational, commercial, and compliance-related matters. 
  • Identify legal and business risks in transactions and propose solutions that balance protection with business objectives. 
  • Support the creation and improvement of contract templates, legal processes, and playbooks to enable efficient execution across the company.  
  • Partner with internal teams to address legal issues arising from day-to-day business operations. 

Qualifications 

  • Juris Doctor (JD) from an accredited law school and active membership in at least one U.S. state bar. 
  • 4+ years of relevant legal experience, either in-house or at a law firm, with increasing responsibility.  
  • Proven experience supporting contract negotiation, regulatory matters, and cross-functional business operations.  
  • Working familiarity with intellectual property strategy and protection. 
  • Experience with corporate governance, board support, and entity management preferred.  
  • Excellent judgment, communication, and stakeholder management skills, with the ability to translate complex legal issues into practical business advice.  
  • Ability to operate independently in a fast-paced, evolving environment and manage multiple priorities effectively.
