Deputy General Counsel
Reports to: CEO & President
Located: Miami, Florida
About Perry Ellis International
Mergers & Acquisitions
- Lead all aspects of M&A transactions from due diligence through closing
- Draft and negotiate purchase agreements, disclosure schedules, and ancillary documents
- Conduct and supervise legal due diligence on target companies
- Coordinate with outside counsel on complex transactions
- Advise executive leadership on transaction structures, risks, and strategic considerations
Financial Transactions & Banking
- Oversee all company financing activities, including debt and equity offerings
- Structure and negotiate credit facilities, loan agreements, and security arrangements
- Manage banking relationships from a legal perspective
- Review and approve financial instruments and investment documentation
- Ensure compliance with securities laws and regulations
- Advise on cash management and treasury operations
AI Technology & Innovation
- Develop expertise in emerging AI technologies relevant to the apparel/retail industry
- Evaluate legal implications of AI implementation in business operations
- Monitor regulatory developments related to AI in business applications
General Legal Support
- Report directly to the CEO
- Collaborate with business units on strategic initiatives
- Develop and implement best practices for financial transaction management
- Represent the company in negotiations with financial institutions and counterparties
Qualifications Required
- JD from accredited law school with excellent academic credentials
- MBA from an accredited institution
- 6-10 years of practical experience in corporate law with focus on M&A and financial transactions
- Significant experience drafting and negotiating complex financial agreements
- Strong understanding of securities laws and banking regulations
- Experience with private company transactions and financing
- Excellent analytical skills and attention to detail
- Superior communication abilities with executive leadership and business partners
- Fluent in Spanish
Preferred
- Experience in apparel/retail industry
- Knowledge of international transactions and global markets
- Background in technology transactions or AI-related legal matters
Experience with private equity ownership structures
