Corporate Counsel - Transactional / Corporate Generalist

Why We Have This Role

Qualtrics is hiring a Corporate Counsel focused on managing all legal aspects of our global corporate entities and real estate matters, negotiating a wide-range of supplier agreements, and being a strategic partner to our Finance, Tax, Procurement, and Real Estate teams as we continue to scale. This role exists to ensure we maintain our global corporate footprint, enable expansion, and operate as a key partner to the business. We need a trusted legal partner who can manage complexity, move quickly in ambiguous situations, provide practical solutions, and help the company balance legal risk with business velocity.  Ultimately, this role ensures we protect the business without slowing it down and enable Qualtrics to deliver exceptional experiences.

How You’ll Find Success

Success in this role is about more than just legal acumen; it's about becoming a trusted, pragmatic business partner who drives results across a wide range of critical legal functions. We are looking for a skilled lawyer who thrives on complexity and ownership. You will succeed by demonstrating excellence in the following areas:
  • Ownership: You don't just identify issues; you build the solutions. You will take full responsibility for maintaining our global entities and supporting our real estate team’s initiatives, and will be a critical partner to the business on a wide-range of supplier agreements.
  • High-Stakes Navigation: You thrive in ambiguity. You provide clear, actionable paths forward that balance legal risk with business velocity.
  • Becoming a Go-To Expert: You will quickly become a highly proficient and go-to resource for the company.
  • Pragmatic and Trusted Partnership: You will build deep trust across the organization by being a responsive, helpful, and solutions-oriented partner. With a high EQ, you will translate complex legal requirements into actionable business guidance. Success means you are consistently sought out by internal clients who value your pragmatic advice and enjoy working with you.
  • Strategic Business Acumen: You will move beyond purely legal advice by developing a sophisticated understanding of our company's products, organization, and risk tolerance. Your counsel will be not just legally sound but commercially astute, helping the business navigate challenges and achieve its goals in a rapidly evolving tech landscape.
  • Mentorship and Team Collaboration: As a key member of the team, you will contribute to a positive and inclusive environment. You will become a helpful mentor to more junior members of the Legal team and a respected advisor to colleagues across the business.

How You’ll Grow

You’ll know you’re doing a phenomenal job when:
  • You are the company’s go-to expert, autonomously managing complex transactional and entity-related matters.
  • You translate complex legal matters into clear, actionable advice that empowers confident business decisions.
  • You are a trusted, pragmatic partner, proactively sought out by teams across the business to help them navigate challenges.

Things You’ll Do

As a key member of our legal team, you will be responsible for managing a diverse portfolio of complex legal matters. Your core responsibilities will include:
  • Draft and negotiate a range of supplier agreements, including inbound SaaS licenses, and technology and implementation partnership agreements, working closely with procurement and business owners from all departments.
  • Primary responsibility for international expansion efforts, including maintenance of global corporate entities and related corporate governance matters, working closely with finance and tax teams.
  • Own other general corporate matters, intercompany agreements, and strategic reorgs.
  • Primary responsibility for real estate matters, working closely with the real estate team.
  • Acting as a mentor to team paralegals.
  • Identify and implement methods for improving and streamlining existing processes.

  • Licensed to practice in at least one U.S. state.
  • 4-9 years of experience in a similar or relevant role at a top law firm or company.
  • Significant transactional legal experience and/or corporate governance experience (prior public company / securities experience a plus).

  • Solution-oriented mindset able to work with cross-functional teams to ensure they are able to accomplish their objectives while still meeting standards.

US Demographic Questions

Why are you being asked to fill out two sets of demographic questions? Qualtrics is required by the federal government to distribute the Equal Employment Opportunity questions exactly as they are written. However, we recognize that the questions do not fully capture the fullness of a person’s identity and experience when it comes to gender identity, sexual orientation and race. DEI (Diversity, Equity and Inclusion) is a cornerstone of our company culture. We are committed to inclusivity in our hiring process and want to give you the opportunity to self-describe your identity.

With this in mind, we invite you to participate in this additional set of voluntary demographic questions. The data collected will be used anonymously and in aggregate, so we can evaluate our processes to ensure we’re providing equal opportunities to applicants from all backgrounds. Your responses, or your choice not to respond, will not be associated with your specific application and will not in any way be used for individual hiring or compensation decisions.

Race & Ethnicity Definitions

If you believe you belong to any of the categories of protected veterans listed below, please indicate by making the appropriate selection. As a government contractor subject to the Vietnam Era Veterans Readjustment Assistance Act (VEVRAA), we request this information in order to measure the effectiveness of the outreach and positive recruitment efforts we undertake pursuant to VEVRAA. Classification of protected categories is as follows:

A "disabled veteran" is one of the following: a veteran of the U.S. military, ground, naval or air service who is entitled to compensation (or who but for the receipt of military retired pay would be entitled to compensation) under laws administered by the Secretary of Veterans Affairs; or a person who was discharged or released from active duty because of a service-connected disability.

A "recently separated veteran" means any veteran during the three-year period beginning on the date of such veteran's discharge or release from active duty in the U.S. military, ground, naval, or air service.

An "active duty wartime or campaign badge veteran" means a veteran who served on active duty in the U.S. military, ground, naval or air service during a war, or in a campaign or expedition for which a campaign badge has been authorized under the laws administered by the Department of Defense.

An "Armed forces service medal veteran" means a veteran who, while serving on active duty in the U.S. military, ground, naval or air service, participated in a United States military operation for which an Armed Forces service medal was awarded pursuant to Executive Order 12985.

Voluntary Self-Identification of Disability

Form CC-305
OMB Control Number 1250-0005
Expires 04/30/2026

Why are you being asked to complete this form?

We are a federal contractor or subcontractor. The law requires us to provide equal employment opportunity to qualified people with disabilities. We have a goal of having at least 7% of our workers as people with disabilities. The law says we must measure our progress towards this goal. To do this, we must ask applicants and employees if they have a disability or have ever had one. People can become disabled, so we need to ask this question at least every five years.

Completing this form is voluntary, and we hope that you will choose to do so. Your answer is confidential. No one who makes hiring decisions will see it. Your decision to complete the form and your answer will not harm you in any way. If you want to learn more about the law or this form, visit the U.S. Department of Labor’s Office of Federal Contract Compliance Programs (OFCCP) website at www.dol.gov/ofccp.
